Renewal Threshold definition

Renewal Threshold shall have the meaning assigned to such term in Paragraph 2.1 hereof.
Renewal Threshold means Sixty Million Dollars ($60,000,000.00) of Net Sales during the twelve (12) month period ended September 30, 2015 with respect to Renewal Term 1, and Seventy-Two Million Dollars ($72,000,000.00) of Net Sales during the twelve (12) month period ended September 30, 2020 with respect to Renewal Term 2.

  • If Licensee otherwise effectively renews this Agreement but Net Sales during the last Annual Period of the initial term are less than the Renewal Threshold, unless the Company waives the shortfall, the renewal shall be ineffective and this Agreement forthwith shall terminate.

  • Threshold means with respect to Party B: infinity.

  • Accelerated Purchase Minimum Price Threshold means, with respect to any Accelerated Purchase made pursuant to Section 2(b) hereof, any minimum per share price threshold set forth in the applicable Accelerated Purchase Notice.

  • Expenditure minimum means:

  • Extension Minimum Condition means a condition to consummating any Extension that a minimum amount (to be determined and specified in the relevant Extension Request, in the Borrower’s sole discretion) of any or all applicable Classes be submitted for Extension.

  • Minimum Tranche Amount has the meaning specified in Section 2.15(b).

  • Five Percent Owner means an Employee who, with respect to a Participating Company, is described in section 423(b)(3) of the Code.

  • Initial Dividend Threshold shall have the meaning specified in Section 14.04(d).

  • Approved Ratings Threshold means each of the S&P Approved Ratings Threshold and the Moody’s First Trigger Ratings Threshold.
