Reorganizations definition

Reorganizations shall have the meaning set forth in Section 6.5.

Reorganizations means the series of contributions and distributions of Controlled Entities and assets, transfers and assumptions of liabilities, and other transactions whereby the D&B Group, the ACNielsen Group and the Cognizant Group are formed and all other Controlled Entities of D&B prior to the Distribution are placed under the control of the appropriate parent corporation(s) in preparation for the Distribution.

Reorganizations means collectively each Reorganization as defined in this Agreement and each of the Tax Receivable Agreement (KKR Reorganization), the Tax Receivable Agreement (KKR Co-Invest Reorganization) and the Tax Receivable Agreement (TCV Reorganization).
