Reorganized Holdings GP definition
Reorganized Holdings GP means Holdings GP, or any successor or assign, by merger, consolidation, or otherwise, on or after the Effective Date.
Reorganized Company means the domestic stock company into which a mutual company has been converted, converted and merged, or converted and consolidated.
Reorganized means, with respect to the Debtors, any Debtor or any successor thereto, by merger, consolidation or otherwise, on or after the Effective Date.
Newco has the meaning set forth in the first paragraph of this Agreement.
Reorganized Parent means, Core Scientific, Inc., a Delaware corporation, on and after the Effective Date.
Topco has the meaning set forth in the Preamble.
Delaware LLC means any limited liability company organized or formed under the laws of the State of Delaware.
Holdco has the meaning set forth in the Preamble.
General Partner means the Company or its successors as general partner of the Partnership.
New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.
Reorganized Debtor means a Debtor, or any successor or assign thereto, by merger, consolidation, or otherwise, on and after the Effective Date.
Parent Holding Company means any direct or indirect parent entity of Holdings which holds directly or indirectly 100% of the Equity Interest of Holdings and which does not hold Capital Stock in any other Person (except for any other Parent Holding Company).
New Holdco means the direct or indirect Subsidiary of the Ultimate Parent following the Post-Closing Reorganizations.
CEI / “CEIG” shall mean Chief Electrical Inspector to the State Government.
MLP has the meaning given such term in the introduction to this Agreement.
CEC means the California Energy Commission or its successor agency.
MergerSub means Actavis W.C. Holding 2 LLC, a company organized in Nevada.
General partnership means an organization formed by two or more persons under chapters 45-13 through 45-21.
MergerCo has the meaning set forth in the Preamble.
Acquisition Subsidiary has the meaning specified in Section 7.14.
Surviving Entity has the meaning set forth in Section 2.1.
Oaktree means Oaktree Capital Management, LLC and its Affiliates, including any partnerships, separate accounts or other entities managed by Oaktree.
Merger Sub I has the meaning set forth in the Preamble.
GP means Gottbetter & Partners, LLP.
UCI means an undertaking for collective investment;
EBS means Electronic Bid Submission.
Reorganized Debtors means the Debtors, as reorganized pursuant to and under the Plan, or any successor thereto, by merger, consolidation, or otherwise, on or after the Effective Date, including Reorganized HoldCo.
