Replaced Award definition

Replaced Award means an award granted under the Plan that is replaced, continued or adjusted pursuant to a Replacement Award granted by the Company or its successor following a change in control.
Replaced Award means a Stock-Based Award or Performance Unit award continued, replaced or assumed in the form of a Replacement Award.
