Replacement Financing definition

Replacement Financing has the meaning set forth in Section 5.9(b).
Replacement Financing means any Alternative Financing or other debt financing, including the offering of debt securities, undertaken by Parent or its Subsidiaries for the purpose of funding the Merger and the other Transactions, the net cash proceeds of which are or will be, together with cash and cash equivalents available to Parent, sufficient to pay the Required Amount and will be provided to (and used by) Parent to consummate the Transactions in accordance with the terms of this Agreement.
Replacement Financing has the meaning assigned to such term in Section 2.20(a).

Examples of Replacement Financing in a sentence

  • The representations, warranties, covenants and other restrictions of Parent and Merger Sub contained in this Agreement with respect to the Financing and the Debt Commitment Letter shall apply equally to any Replacement Financing and Replacement Financing Documents.

  • Following receipt of the Extension Certificate, the Agent and/or the Lenders shall have the right (without any obligation to do so) to obtain for the Borrower a Replacement Financing Arrangement on terms equal to or better than those provided hereunder.

  • For the avoidance of doubt, nothing herein is intended to prevent Borrower from obtaining a Replacement Financing Arrangement on terms equal to or better than those provided hereunder.

  • For purposes of this Section, the Borrower shall be deemed to have complied with the requirement to use its "best efforts" by requesting from and, if applicable, diligently negotiating a Replacement Financing Arrangement as required by clause (b) with each of three (3) commercial banks that are nationally recognized in the United States and each have total assets in excess of $20,000,000,000.


More Definitions of Replacement Financing

Replacement Financing has the meaning assigned to such term in Section 6.3(a).
Replacement Financing means one or more financings in favour of the Borrower whether by way of new debt or equity in an aggregate amount at least equal to $7,000,000 but not including the Required Funding.
Replacement Financing means a refinancing (satisfying all of the requirements of Section 5.02(b)(ix)) by the Loan Parties of (a) first, all (but not less than all) of the principal amount outstanding under the First Lien Loan Documents and the termination of all of the First Lien Loan Documents upon the consummation of such refinancing and (b) thereafter, all (or such lesser amount as shall be acceptable to the Required Lenders under and as defined in the Second Lien Loan Documents) of the principal amount outstanding under the Second Lien Loan Documents and if paid in full in cash, the termination of all of the Second Lien Loan Documents upon the consummation of such refinancing.
Replacement Financing means one or more new debt or equity financings (other than under the SVB Loan Facility) incurred prior to the date on which the Penalty Loan Conditions have been met, pursuant to which Borrower received proceeds or commitments in an amount equal to or greater than the lesser of (x) the aggregate Advances then outstanding hereunder and (y) $2,000,000.
Replacement Financing means a refinancing (satisfying all of the requirements of Section 5.02(b)(x)) by the Loan Parties of all (but not less than all) of the principal amount outstanding under the First Lien Loan Documents and the termination of all of the First Lien Loan Documents upon the consummation of such refinancing, in connection with which the Loan Parties may incur additional Debt in excess of the amount necessary to refinance the entire amount of the First Lien Loan Documents up to the aggregate amount specified in Section 5.02(b)(x).
Replacement Financing means debt financing which will result in net proceeds in the same amount as the amount committed to in the Commitment Letter and on terms and conditions not materially less favorable to DigitalGlobe or the Surviving Corporation than those set forth in the Commitment Letter.
Replacement Financing has the meaning set forth in Section 5.16 of the Agreement.
