Replacement Option definition

Replacement Option has the meaning ascribed thereto in Section 2.2(c).
Replacement Option has the meaning set forth in Section 3.06.
Replacement Option means an Option that is granted when a Participant uses a Common Share held or to be acquired by the Participant to exercise an Option and/or to satisfy tax withholding requirements incident to the exercise of an Option.

Examples of Replacement Option in a sentence

  • The Exercise Price of a Replacement Option shall be no less than the Fair Market Value of a Common Share on the date the grant of the Replacement Option becomes effective.

  • The term of each Replacement Option shall be equal to the remaining term of the Underlying Option.

  • Notwithstanding the fact that the Underlying Option may be an ISO, a Replacement Option is not intended to qualify as an ISO.

  • You will not be subject to tax when the Replacement Option is granted to you.

  • The number of shares subject to the Replacement Options will be adjusted for any stock splits, stock dividends, recapitalizations or similar transactions that may occur between the Expiration Date and the Replacement Option Grant Date.


More Definitions of Replacement Option

Replacement Option means an option or right to purchase Purchaser Shares granted by the Purchaser in replacement of Company Options pursuant to the Arrangement.
