Repurchase Triggering Event definition

Repurchase Triggering Event shall have the meaning provided in Section 8.9(a)(ii).
Repurchase Triggering Event means the date that any Management Stockholder who is employed by, consults with or provides contract services to the Company, one of its Subsidiaries or two or more of such entities, is terminated by any of such entities for Cause.
Repurchase Triggering Event means, with respect to a Management Stockholder, the termination for any reason of such Management Stockholder’s employment or engagement with the Company or any of its Subsidiaries; provided, that in respect of shares of Class B Stock purchased pursuant to the exercise of vested Options or other Common Stock Equivalents by any Management Stockholder, the “Repurchase Triggering Event” shall mean the date that is the later of (a) the Termination Date with respect to such Management Stockholder and (b) the date of the exercise of such vested Options or other Common Stock Equivalents by any Management Stockholder.

Examples of Repurchase Triggering Event in a sentence

  • For the avoidance of doubt and except as set forth in Section 2.4(j) below, this Section 2.4 shall apply to any Stockholder Shares acquired by any Management Stockholder, including pursuant to Section 3.1 or the exercise, conversion or exchange of any Common Stock Equivalents before or after the date of such Management Stockholder’s Repurchase Triggering Event.

  • Treatment of Options following a Repurchase Triggering Event shall be as set forth in the Equity Incentive Plan and the individual award agreements issued thereunder.

  • Subsequent Triggering Event means any of the following events or transactions occurring after the date hereof: (i) The acquisition by any person (other than Grantee or any Grantee Subsidiary) of beneficial ownership of 25% or more of the then outstanding Common Stock; or (ii) The occurrence of the Initial Triggering Event described in clause (i) of subsection (b) of this Section 2, except that the percentage referred to in clause (z) of the second sentence thereof shall be 25%.

  • Triggering Event means any Section 11(a)(ii) Event or any Section 13 Event.

  • Rating Event means the rating on the Notes is lowered by each of the Rating Agencies and the Notes are rated below an Investment Grade Rating by each of the Rating Agencies on any day within the 60-day period (which 60-day period will be extended so long as the rating of the Notes is under publicly announced consideration for a possible downgrade by any of the Rating Agencies) after the earlier of (a) the occurrence of a Change of Control and (b) public notice of the occurrence of a Change of Control or the Company’s intention to effect a Change of Control; provided that a Rating Event will not be deemed to have occurred in respect of a particular Change of Control (and thus will not be deemed a Rating Event for purposes of the definition of Change of Control Triggering Event) if each Rating Agency making the reduction in rating does not publicly announce or confirm or inform the Trustee in writing at the request of the Company that the reduction was the result, in whole or in part, of any event or circumstance comprised of or arising as a result of, or in respect of, the Change of Control (whether or not the applicable Change of Control has occurred at the time of the Rating Event).

  • Early Redemption Event means that R (k) is equal to or greater than the Early Redemption Level (k) on the respective Observation Date (k).

  • Notice Event means any of the events enumerated in paragraph (b)(5)(i)(C) of the Rule and listed in Section 4(a) of this Disclosure Agreement.

  • Fundamental Change Repurchase Date shall have the meaning specified in Section 15.02(a).
