Residual Value Guaranty Amount definition

Residual Value Guaranty Amount shall have the meaning given to that term in Subparagraph 3.02(g) of the Purchase Agreement.
Residual Value Guaranty Amount shall be an amount equal to the total Tranche A Proportionate Share of the Outstanding Lease Amount under Facility 2 on the Expiration Date; provided, however, that:

More Definitions of Residual Value Guaranty Amount

Residual Value Guaranty Amount means an amount equal to the product of the Lease Balance as of the Lease Term Expiration Date, after giving effect to any Rent paid on such date, multiplied by eighty percent 80%.
Residual Value Guaranty Amount shall be (A) with respect to the Land Portion of the Facility 1 Property, an amount equal to the total Outstanding Lease Amount under Facility 1 attributable to the Land Portion on the Expiration Date, and (B) with respect to the Improvement Portion of the Facility 1 Property, an amount equal to the total Tranche A Proportionate Share (for the Improvement Portion) of the Outstanding Lease Amount under Facility 1 attributable to the Improvement Portion on the Expiration Date.
Residual Value Guaranty Amount means 84.41% of the then Permitted Lease Balance minus the Future Value as of the Lease Term Expiration Date (assuming for purposes of this definition that a cancellation notice has been delivered such that the Lease Term Expiration Date is on the sixth day prior to the ninth anniversary of the Documentation Date) of any Base Rent fairly allocable to the uninsurable portion of a Force Majeure Loss occurring during the Construction Period, unless such Force Majeure Loss is restored in accordance with the Construction Agency Agreement with Other Available Amounts.
Residual Value Guaranty Amount means the aggregate of Traville Residual Value Guaranty Amount and the Manufacturing Residual Value Guaranty Amount.

Related to Residual Value Guaranty Amount

  • Residual Value means the proceeds, less removal and disposal costs, if any, realized upon disposition of a tangible capital asset. It usually is measured by the net proceeds from the sale or other disposition of the asset, or its fair value if the asset is traded in on another asset. The estimated residual value is a current forecast of the residual value.

  • ALG Residual Value means the residual value of the vehicle set forth as the ALG Residual Value in the Lease schedule attached as Exhibit A hereto, which shall be the lesser of (i) the ALG residual values of the 2015-2 Vehicles at the scheduled termination of the related 2015-2 Leases at the time the related 2015-2 Lease was signed and (ii) the ALG residual values of the 2015-2 Vehicles at the scheduled termination of the related 2015-2 Leases provided by ALG in August 2015.

  • Collateral Value The appraised value of a Mortgaged Property based upon the lesser of (i) the appraisal (as reviewed and approved by the Seller) made at the time of the origination of the related Mortgage Loan, or (ii) the sales price of such Mortgaged Property at such time of origination.   • Indemnity Amount means the amount of any indemnification obligation payable under the Basic Documents.
