Resigning Directors means Xx. Xxxxxxxxx Xxxxxxx and Xx. Xxxxx Xxxxx;

Resigning Directors has the meaning set forth in Section 1.06.

• Following the Corporation's approval and consummation of the Investor's Bridge Transaction or a Discharge of the BT Loan, the Investor will take all appropriate actions reasonably requested by the Corporation to obtain the resignation of the Replacement Directors and to re-appoint the Resigning Directors to the Corporation's board of directors.

• Mantle Ridge acknowledges that the Resigning Directors will (i) continue to have the same benefits of director and officer insurance, and any indemnity and exculpation arrangements available prior to the execution of this Letter Agreement; and (ii) have their annual grant of deferred stock units received in 2019 fully vested upon their resignation from the Board.

More Definitions of Resigning Directors

Resigning Directors has the meaning given in Clause 5.2.
