Restricted Debt definition

Restricted Debt has the meaning set forth in Section 6.04(b).
Restricted Debt means (i) the Existing Unsecured Notes, (ii) any Junior Lien Debt and (iii) any other Indebtedness of the Issuers or a Guarantor that is not Secured Indebtedness (including Indebtedness in respect of Subordinated Obligations).
Restricted Debt has the meaning specified in Section 7.12(a).

Examples of Restricted Debt in a sentence

  • The Borrowers shall use the proceeds of the Loans on and after the Closing Date to finance the Transactions and the working capital needs and other general corporate purposes of the Parent and its subsidiaries (including for capital expenditures, acquisitions, working capital and/or purchase price adjustments, the payment of transaction fees and expenses, Investments, Restricted Payments, Restricted Debt Payments and any other purpose not prohibited by the terms of the Loan Documents).

  • It is understood and agreed that any Indebtedness (including any Incremental Facilities), Lien, Restricted Payment, Restricted Debt Payment, Investment, Disposition or Affiliate transaction or other transaction need not be permitted solely by reference to one category of permissive exception, threshold, basket or provision under this Agreement, but may instead be permitted in part under any combination thereof.

More Definitions of Restricted Debt

Restricted Debt means any Junior Indebtedness and any Junior Lien Indebtedness, in each case to the extent the outstanding principal amount thereof is equal to or greater than the Threshold Amount.
Restricted Debt means Debt of the Borrower or any Subsidiary, the payment, prepayment, repurchase or defeasance of which is restricted under Section 6.10(b).
Restricted Debt means any Indebtedness of the type described in clause (a) or (b) of the definition of the term “Indebtedness” that is expressly subordinated to the Obligations (in each case, other than Indebtedness among Holdings, the Borrower and/or any Subsidiary).
Restricted Debt of any Person means Debt in any of the following categories:
Restricted Debt means any Junior Indebtedness that is required by the terms of this Agreement to mature after the Amendment No. 8 Term Loan Maturity Date to the extent the outstanding principal amount thereof is equal to or greater than the Threshold Amount.
Restricted Debt means (a) the Indebtedness of any Credit Party existing on the Closing Date and listed on Schedule 7.24, and (b) any other Indebtedness the repayment of which is expressly subordinated and made junior to the payment in full of the Obligations and contains terms and conditions (including terms relating to interest, fees, repayment and subordination) satisfactory to Agents.
Restricted Debt means (a) any Existing Debt Securities and (b) any other Indebtedness (other than Indebtedness owed to the Parent or a Subsidiary) of any Loan Party that (i) matures on or after the date that is one year prior to the Class A Maturity Date and (ii) is unsecured or is secured by a Lien on Collateral that is junior to the Lien thereon granted under the Loan Documents.
