Restricted Debt definition

Restricted Debt has the meaning set forth in Section 6.04(b).
Restricted Debt means any Junior Indebtedness and any Junior Lien Indebtedness, in each case to the extent the outstanding principal amount thereof is equal to or greater than the Threshold Amount.
Restricted Debt has the meaning specified in Section 7.12(a).

  • It is understood and agreed that any Indebtedness, Lien, Restricted Payment, Restricted Debt Payment, Investment, Disposition and/or Affiliate transaction need not be permitted solely by reference to one category of permitted Indebtedness, Lien, Restricted Payment, Restricted Debt Payment, Investment, Disposition and/or Affiliate transaction under Sections 6.01, 6.02, 6.04, 6.05, 6.06, 6.07 or 6.09, respectively, but may instead be permitted in part under any combination thereof.

  • Access Persons other than Portfolio Managers may request permission to trade any security on the Restricted Debt Securities List.

  • Notwithstanding anything herein to the contrary, the foregoing provisions of this Section 6.08 will not prohibit the payment of any Restricted Payment or Restricted Debt Payment within 60 days after the date of declaration thereof or the giving of such irrevocable notice, as applicable, if at the date of declaration or the giving of such notice such payment would have complied with the provisions of this Agreement.

  • Requests for approval may be made by contacting the person responsible for maintaining the Restricted Debt Securities List or the Restricted Equity Securities List.

  • Restricted Debt shall not include any indebtedness for the payment, redemption or satisfaction of which money (or other Property permitted under the instrument creating or evidencing such indebtedness) in the necessary amount shall have been deposited in trust with a trustee or proper depository at or before the maturity or redemption date thereof.


More Definitions of Restricted Debt

Restricted Debt means any Indebtedness described in clause (a) of the definition of “Indebtedness” (other than such Indebtedness among the Borrower or any of its subsidiaries) of any Loan Party that (a)(i) is contractually subordinated in right of payment to the Obligations, (ii) constitutes Junior Lien Debt or (iii) is unsecured and (b) has an individual outstanding principal amount in excess of the Threshold Amount.
Restricted Debt means Debt of the Borrower or any Subsidiary, the payment, prepayment, repurchase or defeasance of which is restricted under Section 6.10(b).
Restricted Debt means (x) any unsecured Indebtedness with an aggregate principal amount of $75,000,000 or greater or (y) any Indebtedness that is subordinated in right of payment to the Notes. For the avoidance of doubt, the Notes shall not constitute Restricted Debt.
Restricted Debt means any Junior Indebtedness that is required by the terms of this Agreement to mature after the Amendment No. 8 Term Loan Maturity Date to the extent the outstanding principal amount thereof is equal to or greater than the Threshold Amount.
Restricted Debt of any Person means Debt in any of the following categories:
Restricted Debt means (a) the Indebtedness of any Credit Party existing on the Closing Date and listed on Schedule 7.24, and (b) any other Indebtedness the repayment of which is expressly subordinated and made junior to the payment in full of the Obligations and contains terms and conditions (including terms relating to interest, fees, repayment and subordination) satisfactory to Agents.
Restricted Debt means (a) any Existing Debt Securities and (b) any other Indebtedness (other than Indebtedness owed to the Parent or a Subsidiary) of any Loan Party that (i) matures on or after the date that is one year prior to the Class A Maturity Date and (ii) is unsecured or is secured by a Lien on Collateral that is junior to the Lien thereon granted under the Loan Documents.
