Retention Release Date definition

Retention Release Date means either of these dates, as the context requires;
Retention Release Date means the First Retention Release Date, the Second Retention Release Date or the Final Retention Release Date, as the case may be; "Second Retention Release Date" means 36 months after the Completion Date; and "Solicitors" means the Buyer's Solicitors and the Sellers' Solicitors; "Withholding" has the meaning given to it in paragraph 4.3(c) of this schedule "W&I Policy" means a warranty and indemnity insurance policy in respect of the Agreement and the transaction contemplated therein on terms that are satisfactory to the Buyer; "W&I Policy Costs" means the insurance premium payable by the Buyer in respect of the W&I Policy and any costs or expenses reasonably incurred by the Buyer in connection with the W&I Policy including, but not limited to, legal fees, the underwriting fee, and any applicable insurance premium tax; and "W&I Policy Inception Date" means the date that is 90 days following Completion. 12.
Retention Release Date means the date falling 12 calendar months after Completion.

  • Any delay in payment of the retention monies due to be released after the Second Retention Release Date will not be deemed to constitute a late payment if withheld by the operation of this clause.

  • If no such payment becomes due within the period equal to the period between the Main Contract Application Date and the payment due date as set out in the Schedule of Valuation Dates of the First Retention Release Date then a payment shall become due at that time to facilitate the release of the retention monies due to be released.

  • If at the First Retention Release Date the Domestic Sub-Contract Works, including the correction of all known defects, all outstanding works and the provision of all documentation required by this Domestic Sub-Contract, has not been completed by the Domestic Sub-Contractor then the retention monies deducted in accordance with clause 39.1 shall not be reduced by half until the first payment that becomes due after the Domestic Sub-Contractor has completed the Domestic Sub-Contract Works.

  • Subject to clause 47 the retention monies deducted in accordance with clause 39.1 shall be reduced by half in the first payment that becomes due after the First Retention Release Date stated in the Appendix to the Articles of Agreement.

  • Subject to clause 49 the balance of retention monies held after the reduction in percentage referred to in clause 46 shall become due within the period equal to the period between the Main Contract Application Date and the payment due date as set out in the Schedule of Valuation Dates after the Second Retention Release Date stated in the Appendix to the Articles of Agreement.

  • None of the Warrantors shall have any liability in respect of any Claim unless the Purchaser has served on them a written notice on or before the Warranty Retention Release Date giving reasonable details of the Claim including the Purchaser’s then best estimate of the amount of the liability of the Warrantors in respect thereof, and has issued and served proceedings in respect thereof within six months of the date of such written notice.
