Right to Purchase Date definition

Right to Purchase Date means the last business day of an Offering Period to purchase Shares under the provisions of Section 10.
Right to Purchase Date means the Effective Date of an Offering Period.
Right to Purchase Date means (a) the last business day of any period within an Offering Period as designated by the Committee or (b) the last business day of an Offering Period, in each case to purchase Shares under the provisions of Section 11 of the Plan.

In that case (i) the fifth Trading Day shall be deemed to be the Issuer Call Date (regardless of the Market Disruption Event); and (ii) the Calculation Agent shall determine the Final Reference Price having regard to the then prevailing market conditions, the last reported trading price of the Shares and such other factors as the Calculation Agent deems relevant;

  • Mandatory Purchase Date means the Purchase Date for a Mandatory Purchase in accordance with this Statement and the VRDP Purchase Agreement.

  • Repurchase Value means the Fair Market Value in the event the award to be repurchased under Section 10.2 is comprised of shares of Common Stock and the difference between Fair Market Value and the Exercise Price (if lower than Fair Market Value) in the event the award is a Stock Option or Stock Appreciation Right; in each case, multiplied by the number of shares subject to the award.
