Roll Consent definition

Roll Consent means, with respect to a Lender, that such Lender has consented, pursuant to Clause 43.4 (Consents), in a form and substance acceptable to the Facility Agent, with respect to such Lender’s A Facility Commitments and A Facility Outstandings, A1 Facility Commitments and A1 Facility Outstandings, B1 Facility Commitments and B1 Facility Outstandings, B2 Facility Commitments and B2 Facility Outstandings, B3 Facility Commitments and B3 Facility Outstandings, B4 Facility Commitments and B4 Facility Outstandings, B5 Facility Commitments and B5 Facility Outstandings, B6 Facility Commitments and B6 Facility Outstandings and Revolving Facility Commitments and Revolving Facility Outstandings becoming A2 Facility Commitments and A2 Facility Outstandings, A3 Facility Commitments and A3 Facility Outstandings, B7 Facility Commitments and B7 Facility Outstandings, B8 Facility Commitments and B8 Facility Outstandings, B9 Facility Commitments and B9 Facility Outstandings, B10 Facility Commitments and B10 Facility Outstandings, B11 Facility Commitments and B11 Facility Outstandings, B12 Facility Commitments and B12 Facility Outstandings and Secondary Revolving Facility Commitments and Secondary Revolving Facility Outstandings, respectively.
Roll Consent means, with respect to a Lender, that such Lender has consented, pursuant to Clause 44.2 (Consents), in a form and substance satisfactory to the Facility Agent, with respect to such Lender’s A Facility Commitments and A Facility Outstandings and B Facility Commitments and B Facility Outstandings, becoming A1 Facility Commitments and A1 Facility Outstandings, A2 Facility Commitments and A2 Facility Outstandings and B1 Facility Commitments and B1 Facility Outstandings, as applicable.

  • Required Consent has the meaning set forth in Section 4.4.

  • Initial approval means authorization to admit students and enter into contractual agreements for clinical facilities. It is granted only after an application has been submitted, reviewed and a survey visit made by the Board. No students shall be admitted to the program until the institution has received written notification that initial approval has been granted. Failure to comply will delay initial approval.

  • Required Consents shall have the meaning set forth in Section 4.5.

  • CPUC Approval means a final and non-appealable order of the CPUC, without conditions or modifications unacceptable to the Parties, or either of them, which contains the following terms:

  • Requisite Approval means the affirmative vote of the holders of at least a majority of the shares of outstanding Company Common Stock and outstanding Company Preferred Stock voting as a single class.

  • Authorization Letter means a letter agreement executed by Borrower in the form of EXHIBIT A.

  • Special Approval means approval by a majority of the members of the Conflicts Committee.

  • UCC Filing Authorization Letter means a letter duly executed by each Loan Party authorizing the Collateral Agent to file appropriate financing statements on Form UCC-1 without the signature of such Loan Party in such office or offices as may be necessary or, in the opinion of the Collateral Agent, desirable to perfect the security interests purported to be created by each Security Agreement and each Mortgage.

  • Rollover Notification Date shall be defined as set forth in the Prospectus under "Summary of Essential Information."

  • Governmental Consents has the meaning set forth in Section 3.5.

  • Pre-approval means written notification via a pre-approval letter to Customer that Ameren Illinois has reviewed Customer's Application and determined that the project meets the program eligibility requirements for a maximum pre-approved incentive amount if the project is completed by the estimated completion date and all final application paperwork is submitted and approved.

  • Development Consent means the consent granted to the Development Application for the Development and includes all modifications made under section 4.55 of the Act.

  • IRB approval means the determination of the IRB that the research has been reviewed and may be conducted at an institution within the constraints set forth by the IRB and by other institutional and federal requirements.

  • Consent Date has the meaning set forth in Section 2.09(a) hereof.

  • Additional Disclosure Notification The form of notification to be included with any Additional Form 10-D Disclosure, Additional Form 10-K Disclosure or Form 8-K Disclosure Information which is attached to this Agreement as Exhibit W.

  • FCC Consent means action by the FCC granting its consent to the assignment of the FCC Licenses to Buyer as contemplated by this Agreement.

  • Requisite Shareholder Approval shall have the meaning set forth in Section 4.3(a).

  • Authorization Form means a form specified in s. 440.73.

  • Required Approval has the meaning specified in Section 2.2(b).
