The Company has all licenses, permits, orders or approvals of, and has made all required registrations with, any governmental or regulatory body that are material to the conduct of the business of the Company (collectively, "Permits"), including, without limitation, all Permits relating to compliance with Safety and Environmental Laws.
All Permits (with the exception of Permits required pursuant to Safety and Environmental Laws, which are addressed in Section 3.13) are listed on Schedule 3.11 and are in full force and effect; no material violations are or have been recorded in respect of any Permit; and no proceeding is pending or, to the knowledge of the Company, threatened to revoke or limit any Permit.
The Company has all licenses, permits, exemptions, consents, waivers, authorizations, rights, certificates of occupancy, franchises, orders or approvals of, and has made all required registrations with, any Governmental Body that are material to the conduct of the business of, or the intended use of any properties of, the Company (collectively, "Permits"), not including, however, Permits relating to compliance with Safety and Environmental Laws, which are addressed in Section 3.13.
The representations and warranties set forth in this Section 7 represent the sole and exclusive representations and warranties of Seller with respect to health, safety or environmental matters, including any matters arising under or relating to Health, Safety and Environmental Laws.
Except as provided in this Agreement, Buyer hereby waives any right to seek contribution or other recovery from Seller under such Health, Safety and Environmental Laws.
