Topco has the meaning set forth in the Preamble.
Holdco has the meaning set forth in the Preamble.
CFC Holdco means any Domestic Subsidiary that has no material assets other than Equity Interests of one or more Foreign Subsidiaries that are CFCs.
Natural parent means a minor's biological or adoptive parent, and includes the minor's noncustodial parent.
OpCo has the meaning set forth in the Preamble.
MLP has the meaning given such term in the introduction to this Agreement.
Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.
CRR II means Regulation (EU) 2019/876 of the European Parliament and of the Council of 20 May 2019 amending Regulation (EU) No 575/2013 as regards the leverage ratio, the net stable funding ratio, requirements for own funds and eligible liabilities, counterparty credit risk, market risk, exposures to central counterparties, exposures to collective investment undertakings, large exposures, reporting and disclosure requirements, and Regulation (EU) No 648/2012.
Departing General Partner means a former General Partner from and after the effective date of any withdrawal or removal of such former General Partner pursuant to Section 11.1 or Section 11.2.
Parent Holding Company means any direct or indirect parent entity of Holdings which holds directly or indirectly 100% of the Equity Interest of Holdings and which does not hold Capital Stock in any other Person (except for any other Parent Holding Company).
Direct holdings means all publicly traded securities of a company that are held directly by the state treasurer or a retirement system in an actively managed account or fund in which the retirement system owns all shares or interests.
Holdings LLC Agreement means the Third Amended and Restated Limited Liability Company Agreement of Holdings, dated on or about the date hereof, as such agreement may be amended from time to time.
NGL means natural gas liquids.
MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.
Newco has the meaning set forth in the first paragraph of this Agreement.
mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;
EXCO means EXCO Resources, Inc., a Texas corporation.
Co-op Shares Shares issued by private non-profit housing corporations.
Acquisition Subsidiary shall have the meaning ascribed to it in the preamble hereto.
lone parent means a person who has no partner and who is responsible for and a member of the same household as a child or young person;
Foreign Subsidiary Holding Company means any Subsidiary the primary assets of which consist of Capital Stock in (i) one or more Foreign Subsidiaries or (ii) one or more Foreign Subsidiary Holding Companies.
qualifying holding means a direct or indirect holding in an undertaking which represents 10 % or more of the capital or of the voting rights or which makes it possible to exercise a significant influence over the management of that undertaking;
GP means Gottbetter & Partners, LLP.
Blocker means an employee engaged in one or more of the following operations in a Millinery Sector establishment:
BHP means BHP Minerals Pty. Ltd. and its successors and assigns who are parties with the State to the Processing Agreement;
NCLT means the Hon’ble National Company Law Tribunal, Kolkata Bench;
