Seaport Entertainment Other Partnerships definition

Seaport Entertainment Other Partnerships means those other partnerships set forth in Note 2 (Investments in Unconsolidated Ventures) of the Unaudited Condensed Combined Financial Statements of Seaport Entertainment Division of Xxxxxx Xxxxxx for the Three Months Ended March 31, 2024 and the Audited Combined Financial Statements of Seaport Entertainment Division of Xxxxxx Xxxxxx for the Twelve Months Ended December 31, 2023, included in the Form 10.
Seaport Entertainment Other Partnerships means those other partnerships set forth in Note 2 (Investments in Unconsolidated Ventures) of the Unaudited Condensed Combined Financial Statements of Seaport Entertainment Division of Howard Hughes for the Three Months Ended March 31, 2024 and the Audited Combined Financial Statements of Seaport Entertainment Division of Howard Hughes for the Twelve Months Ended December 31, 2023, included in the Form 10.

Related to Seaport Entertainment Other Partnerships

  • Person means an individual or corporation, partnership, trust, incorporated or unincorporated association, joint venture, limited liability company, joint stock company, government (or an agency or subdivision thereof) or other entity of any kind.

  • Company has the meaning set forth in the Preamble.

  • Services means those functional services ancillary to the supply of the goods, such as transportation and any other incidental services, such as installation, commissioning, provision of technical assistance, training, catering, gardening, security, maintenance and other such obligations of the supplier covered under the contract.

  • Confidential Information has the meaning set forth in Section 6.1.

  • Code means the Internal Revenue Code of 1986, as amended.

  • Board means the Board of Directors of the Company.

  • Affiliate of any specified Person means any other Person directly or indirectly controlling or controlled by or under direct or indirect common control with such specified Person. For the purposes of this definition, “control” when used with respect to any specified Person means the power to direct the management and policies of such Person, directly or indirectly, whether through the ownership of voting securities, by contract or otherwise; and the terms “controlling” and “controlled” have meanings correlative to the foregoing.

  • Agreement has the meaning set forth in the preamble.

  • Business Day means any day except any Saturday, any Sunday, any day which is a federal legal holiday in the United States or any day on which banking institutions in the State of New York are authorized or required by law or other governmental action to close.

  • Contract means the written agreement entered into between the purchaser and the supplier, as recorded in the contract form signed by the parties, including all attachments and appendices thereto and all documents incorporated by reference therein.

  • Subsidiary means a “subsidiary corporation,” whether now or hereafter existing, as defined in Section 424(f) of the Code.

  • Securities Act means the Securities Act of 1933, as amended.

  • Exchange Act means the Securities Exchange Act of 1934, as amended.

  • Effective Date has the meaning set forth in the preamble.

  • Director means a member of the Board.

  • Commission means the Securities and Exchange Commission.

  • Act means the Securities Act of 1933, as amended.

  • Employee means an employee of the Contractor directly engaged in the performance of work under the contract who has other than a minimal impact or involvement in contract performance.

  • SCC means the Special Conditions of Contract.

  • Site means the place or places where the permanent Works are to be carried out including workshops where the same is being prepared.

  • Employer as defined in Section 3(5) of ERISA.

  • Corrupt practice means the offering, giving, receiving, or soliciting of anything of value to influence the action of a public official in the procurement process or in contract execution.

  • Department means the department of health.

  • Operator means the operator of an internet website, online service, online application, or mobile application with actual knowledge that the site, service, or application is used for K–12 school purposes. Any entity that operates an internet website, online service, online application, or mobile application that has entered into a signed, written agreement with an LEA to provide a service to that LEA shall be considered an “operator” for the purposes of this section.

  • Member means a member of the Board;
