Second Expansion Premises Commencement Date definition

Second Expansion Premises Commencement Date shall be the date that Landlord Delivers the Second Expansion Premises to Tenant. The “Second Expansion Premises Rent Commencement Date” shall be the date that is the earlier of (i) Substantial Completion (as defined in the Work Letter) of the Tenant Improvements, or (ii) 6 months following the Second Expansion Premises Commencement Date. Upon the request of Landlord, Tenant shall execute and deliver a written acknowledgment of the Second Expansion Premises Commencement Date, the Second Expansion Premises Rent Commencement Date and the expiration date of the Lease in substantially the form of the “Acknowledgement of Commencement Date” attached to the Lease as Exhibit D; provided, however, Tenant’s failure to execute and deliver such acknowledgment shall not affect Landlord’s rights hereunder. Except as otherwise set forth in this Second Amendment: (i) Tenant shall accept the Second Expansion Premises in their condition as of the Second Expansion Premises Commencement Date, subject to all applicable Legal Requirements; (ii) Landlord shall have no obligation for any defects in the Second Expansion Premises; and (iii) Tenant’s taking possession of the Second Expansion Premises shall be conclusive evidence that Tenant accepts the Second Expansion Premises. Notwithstanding anything to the contrary contained in this Second Amendment, Tenant and Landlord acknowledge and agree that the effectiveness of this Second Amendment shall be subject to the following condition precedent (“Condition Precedent”) having been satisfied: Landlord shall have entered into a lease termination agreement (“Termination Agreement”) on or before August 31, 2015, with the existing tenant of the Second Expansion Premises pursuant to which such existing tenant agrees to terminate its Lease with respect to the Second Expansion Premises, which Termination Agreement shall be on terms and conditions acceptable to Landlord, in Landlord’s sole and absolute discretion. In the event that the Condition Precedent is not satisfied, Landlord shall have the right to terminate this Second Amendment upon delivery of written notice to Tenant. Second Expansion Premises Commencement Date shall be July 1, 2015. Except as otherwise set forth in this Third Amendment: (i) Tenant shall accept the Second Expansion Premises in their “as-is” condition as of the Second Expansion Premises Commencement Date, subject to all applicable Legal Requirements; (ii) Landlord shall have no obligation for any defects in the Second Expansion Premises; and (iii) Tenant’s taking possession of the Second Expansion Premises shall be conclusive evidence that Tenant accepts the Second Expansion Premises and that the Second Expansion Premises were in good condition as of the Second Expansion Premises Commencement Date. Except as otherwise provided in this Third Amendment, Tenant agrees and acknowledges that neither Landlord nor any agent of Landlord has made any representation or warranty with respect to the condition of all or any portion of the Second Expansion Premises, and/or the suitability of the Second Expansion Premises for the conduct of Tenant’s business, and Tenant waives any implied warranty that the Second Expansion Premises are suitable for the Permitted Use.
Second Expansion Premises Commencement Date means July 11, 1997 or, if later, the date on which the Second Expansion Premises are delivered to Tenant in accordance with Section 4 hereof.

  • In addition to the Existing Premises, commencing on the Second Expansion Premises Commencement Date (as defined below), Landlord leases to Tenant, and Tenant leases from Landlord, the Second Expansion Premises.

More Definitions of Second Expansion Premises Commencement Date

Second Expansion Premises Commencement Date or “SEPCD” shall mean the earliest to occur of (a) the date Tenant occupies the Second Expansion Premises or any portion thereof for the conduct of Tenant's business; or (b) the date Landlord Substantially Completes the Expansion Work (as these terms are defined in Exhibit B-1 attached hereto) in the Second Expansion Premises and tenders possession of the Second Expansion Premises to Tenant or (c) the date Landlord would have Substantially Completed the Expansion Work in the Second Expansion Premises and tendered possession to Tenant but for a Tenant Delay Day (as defined in Exhibit B-1). As of the Second Expansion Premises Commencement Date, the “Premises” shall include both the Existing Premises and the Second Expansion Premises. After the Second Expansion Premises Commencement Date occurs, Landlord shall deliver to Tenant an instrument confirming the Second Expansion Premises Commencement Date. The rentable square feet stated herein shall be conclusive on both parties.
Second Expansion Premises Commencement Date shall be the date Landlord Delivers the Second Expansion Premises to Tenant; provided, however, that in no event shall the Second Expansion Premises Commencement Date occur prior to December 1, 2016. Second Expansion Premises Commencement Date. Section 2.6
Second Expansion Premises Commencement Date shall be the earlier of (i) September 1, 2022 and (ii) the date upon which the Premises Improvements (as defined in Section 3 below) are substantially completed. The “Second Expansion Premises Rent Commencement Date” shall be the date that is 6 months following the Second Expansion Premises Commencement Date.
Second Expansion Premises Commencement Date shall be 1 business day after the mutual execution and delivery of this Third Amendment by the parties. The “Second Expansion Premises Rent Commencement Date” shall be January 1, 2013. Second Expansion Premises Commencement Date means sixty (60) days after the Second Expansion Premises Delivery Date.
Second Expansion Premises Commencement Date shall be January 1, 2017. Landlord shall deliver the Second Expansion Premises to Tenant in “as-is” condition, broom clean and free of personal property. Landlord shall be responsible to ensure that the Base Building systems (as defined in the Lease) serving the Premises are in good working order as of the delivery date for the Second Expansion Premises. Landlord shall deliver the Second Expansion Premises to Tenant promptly after this Amendment is fully executed and delivered. All of the terms and conditions of the Lease, as amended hereby, shall apply with respect to the Second Expansion Premises from and after such delivery date, including, without limitation, the insurance and indemnity provisions, and the fact that the Second Expansion Premises Base Rent shall commence on the Second Expansion Premises Commencement Date.
