  • If the Dilution Instruments, or any of them, referred to in the Second Offer Notice are not elected to be subscribed to by any of the Existing Shareholders, then such Dilution Instruments may be offered by the Company to any other party on the terms and conditions which are not more favourable than offered to the Investors in the Offer Notice.

  • If Molex has not elected to purchase all of the Offered Shares, the Transferring Stockholder shall provide written notice to each of the Other Stockholders within five days after the expiration of the First Election Period (the "Second Offer Notice").

  • Tender Notice means the Tender Notice set out in Part 1 of this TenderDocument;

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Term SOFR Notice means a notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term SOFR Transition Event.

  • Acquisition Notice has the meaning set forth in Section 2.5(a).

  • Disposition Notice is defined in Section 5.2(a).

  • Put Option Notice means a notice which must be delivered to a Paying Agent by any Noteholder wanting to exercise a right to redeem a Note at the option of the Noteholder;
