Second Release Amount definition

Second Release Amount means the number of shares of STAFFMARK Stock equal to the product of: (x) twenty percent (20%) times (y) the share amount equal to (A) all of the shares of the STAFFMARK Stock issued to the STOCKHOLDERS who are Stockholder Affiliates pursuant to the Merger that are then beneficially owned by the STOCKHOLDERS who are Stockholder Affiliates as of the Second Release Date less (B) the aggregate number of shares of STAFFMARK Stock comprising a portion of the First Release Amount that is attributable to the STOCKHOLDERS who are Stockholder Affiliates."
Second Release Amount has the meaning set forth in Section 8.5(b).
Second Release Amount means a dollar amount equal to the least of (A) the Second SEC Event Amount, if applicable, (B) the Second Non-SEC Event Amount, if applicable, (C) the Second Maximum Amount and (D) the dollar amount available in the Holder's Master Restricted Account.

  • Promptly after its receipt of the Option Holder Second Release Funds, the Surviving Corporation shall distribute to each Option Holder an amount in cash equal to (y) Second Release Amount multiplied by (z) each such Option Holder’s Escrow Percentage, less any applicable withholding.

  • Lease Termination Payments means all payments received by or on behalf of any Seller with respect to a Lease with respect to any terminations, surrenders, modifications, renewals or amendments of any such Lease.

  • Release Deadline means the deadline prescribed by Employer for the execution of the general release described in this paragraph (d)(2) of Section 7, which deadline shall in no event be later than 60 days following the date Executive’s employment terminates;
