Secondary Purchases definition

Secondary Purchases means the commitment by the Secondary Investors to purchase Taboola Ordinary Shares from certain employees and shareholders of Taboola, and, under certain circumstances, from Taboola, in an aggregate of 15,120,000 Secondary Shares at a price per share of $10.00, for gross proceeds of $151,200,000.
Secondary Purchases means the acquisition of certain Series E Preferred Shares and Common Shares or Preferred Shares redesignated as Series F-1 Preferred Shares (not being Common Shares or Preferred Shares held by the Founders) by the relevant Investors simultaneously with the Series F-1 Closing.
Secondary Purchases shall have the meaning set forth in the Recitals.

  • If the Buyer engages in any other offer to purchase shares of the Company’s capital stock from the Company’s stockholders outside of the Secondary Purchases, it shall do so in compliance with all applicable federal and state securities laws, and it shall seek the Company’s prior written consent to such transactions, which shall not be unreasonably withheld, conditioned, or delayed.
