SECTION SEVEN. MEMBER’S RESCISSION RIGHTS
SECTION SEVEN. THE PARTIES shall submit any disputes or differences related to the interpretation and fulfillment of the obligations arising from this Agreement to the jurisdiction and venue of the competent Federal Courts in the City of México, and waive any other venue, jurisdiction or domicile that may correspond to them.
SECTION SEVEN. ATTORNEY FEES If any action is filed in relation to this Agreement, the prevailing party in the action or any related settlement shall be entitled to recover from the other party reasonable attorney fees and costs of suit, in addition to all other recovery and relief.

  • SECTION SEVEN ALTERATIONS Except in accordance with other written agreements entered into subsequent to the date of this Lease between Lessee and Lessor regarding maintenance of the Aircraft, Lessee shall not have the right to alter, modify, or make additions or improvements to the Aircraft without the written permission of Lessor.

  • SECTION SEVEN METHOD OF EXERCISING OPTION Subject to the terms and conditions of this option agreement, this Option may be exercised by written notice to the Corporation, mailed or personally delivered to the Corporation at the following address: Suite 830 - 789 West Pender Street, Xxxxxxxxx, X.X. SECTION SEVEN. Any person or corporation shall not be permitted, and the Village shall not grant to any person or corporation, the right to install, extend, or maintain any water, gas, telephone, sewer, or other system, or any pipes, mains, conduits, or wires, so as to injure, damage, or interfere with the water system, pipes, hydrants, or mains of the Water Company; the Village shall not vacate or convey away any rights-of-way containing Water Company facilities without the Water Company’s prior approval or reservation of an easement providing a right to construct, operate, maintain, extend, or replace its facilities, and no person or corporation shall be permitted or granted the right to interfere in any way with any of the rights granted hereunder to the Water Company to construct, operate, install, extend, maintain, or replace its water system or use the streets, avenues, alleys, parks, and other public places as provided herein.

  • Section 3 means Section 3 of the Housing and Urban Development Act of 1968.

  • Subsection refer to the respective Sections and Subsections of this Agreement, and references to “Exhibit” or “Schedule” refer to the respective Exhibits and Schedules attached hereto; (iii) wherever the word “include,” “includes” or “including” is used in this Agreement, it will be deemed to be followed by the words “without limitation.” All capitalized terms used in this Agreement that are defined in the Purchase Agreement or otherwise defined in Articles 8 or 9 of the Code shall have the meanings assigned to them in the Purchase Agreement or the Code, respectively and as applicable, unless the context of this Agreement requires otherwise. In addition to the capitalized terms defined in the Code and the Purchase Agreement, unless the context otherwise requires, when used herein, the following capitalized terms shall have the following meanings (provided that if a capitalized term used herein is defined in the Purchase Agreement and separately defined in this Agreement, the meaning of such term as defined in this Agreement shall control for purposes of this Agreement):

  • Section 4(2) shall have the meaning set forth in the recitals of this Agreement.

  • Article 55 BRRD means Article 55 of Directive 2014/59/EU establishing a framework for the recovery and resolution of credit institutions and investment firms.

  • Section 2 Nonresident BIDDER" means a BIDDERS whose principal place of business is not in this state, but excludes a contractor whose ultimate parent company or majority owner has its principal place of business in this state.

  • Indemnification Cap shall have the meaning set forth in Section 8.4(b).

  • Section 510(b) Claims means any Claim against any Debtor: (a) arising from the rescission of a purchase or sale of a Security of any Debtor or an Affiliate of any Debtor; (b) for damages arising from the purchase or sale of such a Security; (c) or for reimbursement or contribution allowed under section 502 of the Bankruptcy Code on account of such a claim; provided that a Section 510(b) Claim shall not include any claims subject to subordination under section 510(b) of the Bankruptcy Code arising from or related to an equity interest.

  • Section 510(b) Claim means any Claim arising from: (a) rescission of a purchase or sale of a security of the Debtors or an Affiliate of the Debtors; (b) purchase or sale of such a security; or (c) reimbursement or contribution allowed under section 502 of the Bankruptcy Code on account of such a Claim.

  • (3) In this subsection, the term oil fuel’ means any oil used as fuel in connection with the propulsion and auxiliary machinery of the vessel in which such oil is carried.’’.

  • Indemnification Threshold has the meaning set forth in Section 11.5.

  • Borrower Offer of Specified Discount Prepayment means the offer by any Company Party to make a voluntary prepayment of Term Loans at a Specified Discount to par pursuant to Section 2.05(a)(v)(B).

  • Fundamental Representations and Warranties means the representations and warranties contained in Sections 3.1, 3.2, 3.6, 4.1 and 4.

  • Indemnification Expenses shall have the meaning set forth in Section 6.11(a).

  • Section 504 Plan means a student’s individualized plan developed by the student’s Section 504 multidisciplinary team after a pre-placement evaluation finding the student is disabled within the meaning of Section 504 and its implementing regulations.

  • Indemnity Cap has the meaning set forth in Section 9.2(b).

  • Sections “Subsections”, “Paragraphs”, and other subdivisions without reference to a document are to designated Articles, Sections, Subsections, Paragraphs and other subdivisions of this Agreement;

  • Seller Fundamental Representations means the representations and warranties set forth in Section 6.1 (Organization, Good Standing and Qualification of Seller), Section 6.2 (Authorization; Enforceability), Section 6.10 (Title to Purchased Assets) and Section 6.26 (Brokerage Commission).
