Seller Health Plan definition

Seller Health Plan has the meaning set forth in Section 6.18(a).
Seller Health Plan means the Callaway Partners, LLC Employee Benefits Plan. “Seller 401(k) Plan” means the Callaway Partners, LLC 401(k) Plan.

Examples of Seller Health Plan in a sentence

  • Buyer shall use commercially reasonable efforts to credit the Seller Health Plan Participants with payment of any deductibles and payments toward out-of-pocket limits made under Parent’s, Queensgate’s or Beverage’s, as applicable, group health care plan for the plan year in which the Closing occurs, but only to the extent Parent, Queensgate or Beverage, as applicable, or the Employee provides Buyer with reasonable evidence of any such payments and only to the extent permitted by any applicable insurer.

  • In addition, with respect to Continuing Employees, Buyer shall cause such health care plan to credit all employee payments toward deductible and co-payment obligations limits under the Seller Health Plan for the plan year that includes the Closing Date as if such payments had been made for similar purposes under such health care plan during the plan year that includes the Closing Date.

  • Purchaser shall provide COBRA continuation coverage to employees, former employees and other qualified beneficiaries (as such term is defined under COBRA) of Seller as well as to the Continuing Employees under the Seller Health Plan and, in the event that the Seller Health Plan is terminated by Purchaser or by Pacificare, Purchaser shall provide COBRA coverage under Purchaser’s group health plan in accordance with COBRA.

  • In addition, with respect to Continuing Employees, Buyer shall cause its health care plan to credit all employee payments toward deductible and co-payment obligations limits under the Seller Health Plan for the plan year that includes the Closing Date as if such payments had been made for similar purposes under Buyer’s health care plan during the plan year that includes the Closing Date.

  • Notwithstanding subsection (a), within 14 days after the Closing Date, Seller shall offer each Affected Employee (whether or not hired by Buyer) and his dependents continuation coverage under Section 4980B of the Code for his and/or his dependents' coverage or benefits under Seller's self-insured group health plan (the "Seller Health Plan") or the Seller's flexible spending account plan providing medical reimbursement benefits (the "Seller Medical FSA Plan").

Related to Seller Health Plan

  • Retiree Health Plan means an "employee welfare benefit plan" within the meaning of Section 3(1) of ERISA that provides benefits to individuals after termination of their employment, other than as required by Section 601 of ERISA.

  • Health plan or "health benefit plan" means any policy,

  • Group health plan means an employee welfare benefit plan as defined in section 3(1) of subtitle A of title I of the employee retirement income security act of 1974, Public Law 93-406, 29 USC 1002, to the extent that the plan provides medical care, including items and services paid for as medical care to employees or their dependents as defined under the terms of the plan directly or through insurance, reimbursement, or otherwise.

  • Health Plans means any and all individual and family health and hospitalization insurance and/or self-insurance plans, medical reimbursement plans, prescription drug plans, dental plans and other health and/or wellness plans.

  • State health plan means the employee and retiree insurance program provided for in Article 5, Chapter 11, Title 1.

  • Seller 401(k) Plan has the meaning set forth in Section 6(e) below.

  • Managed care plan means a health benefit plan that either requires a covered person to use, or

  • Managed Care Plans means all health maintenance organizations, preferred provider organizations, individual practice associations, competitive medical plans and similar arrangements.

  • Basic health plan means the plan described under chapter

  • High Deductible Health Plan means a Health Plan as defined by 26 USC § 223(c)(2)(A) that also is a Qualified Health Plan.

  • Seller Plan means any Employee Benefit Plan maintained, or contributed to, by the Seller, any Subsidiary or any ERISA Affiliate.

  • Home health aide services means the personal care and maintenance activities provided to individuals for the purpose of promoting normal standards of health and hygiene.

  • Buyer 401(k) Plan has the meaning set forth in Section 6.01(h).

  • ODMHSAS means the Oklahoma Department of Mental Health and Substance Abuse Services.

  • Home health aide means an individual employed by a home health agency to provide home health services under the direction of a registered nurse or therapist.

  • CMS means the Centers for Medicare and Medicaid Services.

  • Behavioral health provider means a person licensed under 34 chapter 18.57, 18.57A, 18.71, 18.71A, 18.83, 18.205, 18.225, or 18.79

  • Gap medical benefits means the benefits (if any) payable in respect of medical expenses that are less than, greater than or equal to the schedule fee, provided always that the medical expenses relate to a professional service that:

  • Medicare Advantage plan means a plan of coverage for health benefits under Medicare Part C as defined in 42 U.S.C. 1395w-28(b)(1), and includes:

  • LTC shall have the meaning set forth in the introductory paragraph hereof.

  • Mental health provider means a health care provider or a health care facility authorized by state law to provide mental health services.

  • Health care worker means a person other than a health care professional who provides medical, dental, or other health-related care or treatment under the direction of a health care professional with the authority to direct that individual's activities, including medical technicians, medical assistants, dental assistants, orderlies, aides, and individuals acting in similar capacities.
