Seller Tooling definition

Seller Tooling means all Tooling that is required or necessary to have the Base Vehicle (and any associated Seller Parts) manufactured, assembled, and delivered to Buyer in accordance with the Requirements, whether such Tooling is located at the Facility or a Supplier.
Seller Tooling has the meaning set forth in Section 14.
Seller Tooling means all CNC programming, tooling, dies, jigs, molds, patterns, and fixtures used by Seller or Seller’s subcontractors to inspect and manufacture the Product, which is not Buyer Tooling described in 17.b above.

Examples of Seller Tooling in a sentence

  • Buyer has no right, title, or interest in or to any of the Seller Tooling.

  • Seller may retain the Seller Tooling at the conclusion of the commercial relationship between Seller and Buyer with respect to the affected Products or Services.

  • Buyer acquires no interest in the Seller Tooling, notwithstanding any charges, amortizations or other costs included in the pricing or otherwise paid by Buyer in relation to the Seller Tooling.

  • The Engineering Work for which Seller shall be responsible for includes all engineering, research and development, including but not limited to, labor and material resources applied to complete the activities related to styling, design, testing, development and certification, and Seller Tooling necessary to manufacture and assemble the Base Vehicle.

  • Seller may retain the Seller Tooling at the conclusion of the commercial relationship between Seller and Buyer with respect to the applicable Products or Services.

  • Seller will consider in good faith any Volume Adjustments requested by Buyer; provided however, Seller's ability to accept a Volume Adjustments will be depend on, among other things, the availability of Seller Parts, capacity of the Facility and Seller Tooling to manufacture in accordance with the Volume Adjustments, and commitments to Suppliers.

Related to Seller Tooling

  • Seller Software means Software owned by or developed by or for Seller for use in or in connection with the Business.

  • Purchased Equipment means any equipment, including any Software, sold by BT to the Customer.

  • Seller Use means fuel used for gas compression, LPG plants and LNG plants, other gas needed by Seller's facilities to furnish the requirements of Buyers, together with unaccounted for gas. This gas shall be considered Included In Priority of Service Category 1. Other vital uses of Seller, such as flame stabilization requirements, will be met as long as such uses do not jeopardize service to its firm service Buyers.

  • Seller has the meaning set forth in the Preamble.

  • Tooling means tools funded or provided by the Buyer.
