Senior Loan Exit Term Sheet means the term sheet attached as Exhibit Ato the Plan.
Initial Term Loan Facility means the Initial Term Loan Commitments and the provisions herein related to the Initial Term Loans.
Exit Facility Term Sheet means the Exit Facility Term Sheet attached as Exhibit 2 to Exhibit B of the Restructuring Support Agreement.
New Term Loan Facility means the facility providing for the Borrowing of New Term Loans.
Initial Term Loans means the term loans made by the Lenders on the Closing Date to the Borrower pursuant to Section 2.01(a).
Initial Term Facility means the Initial Term Loan Commitments and the Initial Term Loans made hereunder.
Initial Term Loan shall have the meaning provided in Section 2.1(a).
Tranche B Term Loan Facility as defined in the definition of “Facility” in this Section 1.1.
Initial Term Loan Commitment means the commitment of a Lender to make or otherwise fund an Initial Term Loan and “Initial Term Loan Commitments” means such commitments of all of the Lenders in the aggregate. The amount of each Lender’s Initial Term Loan Commitment, if any, is set forth on Appendix A-1 or in the applicable Assignment Agreement, subject to any adjustment or reduction pursuant to the terms and conditions hereof. The aggregate amount of the Initial Term Loan Commitments as of the Closing Date is $200,000,000.
Existing Term Loan Facility has the meaning specified in Section 2.17(a).
Initial Term Loan Lender means a Lender with an Initial Term Loan Commitment or an outstanding Initial Term Loan.
Collateral Term Sheet and "Structural term sheet" shall have the respective meanings assigned to them in the February 13, 1995 letter (the "PSA Letter") of Cleary, Gottlieb, Steex & Xamixxxx xx behalf of the Public Securities Association (which letter, and the SEC staff's response thereto, were publicly available February 17, 1995). The term "Collateral term sheet" as used herein includes any subsequent Collateral term sheet that reflects a substantive change in the information presented. The term "Computational Materials" has the meaning assigned to it in the May 17, 1994 letter (the "Kiddxx xxxter" and together with the PSA Letter, the "No-Action Letters") of Browx & Xood xx behalf of Kiddxx, Xxabody & Co., Inc. (which letter, and the SEC staff's response thereto, were publicly available May 20, 1994).
Initial Term Loan Repayment Date shall have the meaning provided in Section 2.5(b).
Initial Term Loan Repayment Amount shall have the meaning provided in Section 2.5(b).
Collateral Term Sheets shall have the meanings given such terms in the PSA Letter but shall include only those ABS Term Sheets or Collateral Term Sheets that have been prepared or delivered to prospective investors by any Underwriter.
Credit Facility Agreement means any agreement pursuant to which a Credit Facility Issuer issues a Credit Facility.
Senior Facility Agreement means the Facility Agreement dated 27 June 2016 (as amended from time to time) between, among others, Bendon Limited (as initial borrower) and the Debtor (as initial guarantor), and all other loan facility agreement(s) between (among others) the Senior Creditor and the Debtor from time to time and also includes each other document evidencing the provision of, or setting out the terms that apply to, any Senior Debt (of whatever nature) made or to be made available by the Senior Creditor to the Debtor from time to time (howsoever documented).
Additional Term Loan Commitment means any term commitment added pursuant to Sections 2.22, 2.23 and/or 9.02(c)(i).
Original Term Loans means the "Term Loans" under, and as defined in, the Original Credit Agreement.
Extended Term Loan shall have the meaning assigned to such term in Section 2.21(e).
Refinancing Facility Agreement means a Refinancing Facility Agreement, in form and substance reasonably satisfactory to the Agent, among Holdings, the Borrower, each Subsidiary of the Borrower party to this Agreement, the Agent and one or more Refinancing Lenders, establishing Refinancing Commitments and effecting such other amendments hereto and to the other Loan Documents as are contemplated by Section 2.26.
Incremental Term Loan Facility has the meaning set forth in Section 2.16(a).
Refinancing Term Loan Commitments has the meaning assigned to such term in Section 2.26(a).
Rate/Term Refinancing A Refinanced Mortgage Loan, the proceeds of which are not more than a nominal amount in excess of the existing first mortgage loan and any subordinate mortgage loan on the related Mortgaged Property and related closing costs, and were used exclusively (except for such nominal amount) to satisfy the then existing first mortgage loan and any subordinate mortgage loan of the Mortgagor on the related Mortgaged Property and to pay related closing costs.
Extended Term Loans has the meaning specified in Section 2.15(a).
Incremental Facility Agreement means an Incremental Facility Agreement, in form and substance reasonably satisfactory to the Administrative Agent, among the Borrower, the Administrative Agent and one or more Incremental Lenders, establishing Incremental Term Loan Commitments of any Series or Incremental Revolving Commitments and effecting such other amendments hereto and to the other Loan Documents as are contemplated by Section 2.20.
Total Initial Term Loan Commitment means the sum of the Initial Term Loan Commitments of all Lenders.
