Senior Subordinated Bridge Loan Agreement definition

Senior Subordinated Bridge Loan Agreement means the senior subordinated unsecured increasing rate term loan agreement entered into as of the Closing Date by and among the Borrower; Holdings; the Subsidiary Guarantors party thereto; JPMorgan Chase Bank, N.A., as administrative agent; and the lenders from time to time party thereto, including any guarantees, instruments and agreements executed in connection therewith, and any amendments, supplements, modifications, extensions, renewals or restatements thereof.
Senior Subordinated Bridge Loan Agreement means the senior subordinated unsecured increasing rate term loan agreement dated as of October 12, 2007, as amended and restated dated as of March 12, 2008 and further amended on April 12, 2008, among CDW LLC (as successor in interest to CDW Corporation), Parent, the subsidiary guarantors party thereto, JPMorgan Chase Bank, N.A., as Administrative Agent, and the lenders from time to time party thereto, including any guarantees, instruments and agreement executed in connection therewith, and any amendments, supplements, modifications, extensions, renewals or restatements thereof.
Senior Subordinated Bridge Loan Agreement means the senior subordinated unsecured increasing rate term loan agreement dated as of October 12, 2007 and amended and restated as of March 12, 2008 and further amended on April 2, 2008, among VH MergerSub, Inc., the Issuer, Parent, the subsidiary guarantors party thereto, the Administrative Agent and the lenders from time to time party thereto, including any guarantees, instruments and agreement executed in connection therewith, and any amendments, supplements, modifications, extensions, renewals or restatements thereof.

  • Notwithstanding the foregoing, Indebtedness under the Senior Bridge Loan Agreement, the Senior Subordinated Bridge Loan Agreement, the Revolving Credit Facility and the Senior Secured Term Loan outstanding on the Closing Date will be deemed to have been incurred on such date in reliance on the exception provided by clause (1) of the definition of “Permitted Debt” and any such Indebtedness that was outstanding under the Revolving Credit Facility as of the Closing Date may not later be reclassified.

Senior Subordinated Bridge Loan Agreement means that certain Senior Subordinated Increasing Rate Loan Agreement dated as of October 29, 1998 by and between Company and West Street Fund I, L.L.C., an affiliate of GSCP, and UBS A.G., Stamford Branch, pursuant to which the Senior Subordinated Bridge Loans are made, as in effect on the Closing Date and as such agreement may thereafter be amended, restated, supplemented or otherwise modified from time to time to the extent permitted under SECTION 6.11.

  • Senior Subordinated Debt means the Securities and any other Indebtedness of the Company that specifically provides that it is to rank pari passu with other Senior Subordinated Debt of the Company and is not subordinated to any Indebtedness of the Company that is not Senior Debt.

  • Senior Subordinated Note Documents means the Senior Subordinated Notes, the Senior Subordinated Note Agreement, the Senior Subordinated Note Guarantees and all other documents executed and delivered with respect to the Senior Subordinated Notes or the Senior Subordinated Note Agreement.

  • Term Loan Agreement has the meaning assigned to such term in the recitals of this Agreement.

  • Subordinated Loan Documents means the Subordinated Credit Agreement, the promissory notes executed and delivered pursuant to the Subordinated Credit Agreement, and each other agreement, instrument, or document executed by the Borrower or any of its Subsidiaries or any of their Responsible Officers in connection with the Subordinated Credit Agreement.
