Series B Common Unit definition

Series B Common Unit means a Unit representing a fractional part of the ownership of the Company and having the rights and obligations specified with respect to Series B Common Units in this Agreement.
Series B Common Unit means a Unit issued to a Class B -------------------- Member. The Series B Common Units of each initial Class B Member are as set forth on Exhibit B.
Series B Common Unit has the meaning set forth in the LLC Agreement.

Examples of Series B Common Unit in a sentence

  • Subject only to the following sentence, the price per Series B Common Unit paid by Parent or such wholly-owned Subsidiary of Parent shall be the same as that paid by Holdings for its Series B Common Units.

  • Upon execution of this Agreement, each 2006 Employee Investor shall purchase, and the Company shall sell, the number of Series B Common Units set forth on such 2006 Employee Investor’s signature page attached hereto, at a price of $2.00 per Series B Common Unit (the “Series B Common Unit Purchase Price”).

  • As promptly as practicable after the date hereof, the Company shall at, its own cost and expense, engage an independent third-party appraiser to determine the enterprise valuation of Boise Holdings and, based on such valuation, shall calculate the fair market value of a Series B Common Unit.

  • In the event that Executive determines to purchase Series B Common Units at the FMV Price for each such unit and otherwise in accordance with this Section 1, then on or prior to the fifth (5th) business day after receipt of the Determination Notice, Executive shall provide irrevocable written notice (the “Election Notice”) to the Company of such election and the number of Series B Common Units (not to exceed the Maximum Units) that Executive is electing to acquire at the FMV Price per Series B Common Unit.

  • Each Voting Member shall have the right to one vote per full Senior Preferred Unit, Junior Preferred Unit, Series A Common Unit or Series B Common Unit held by it.

  • The parties to this Agreement agree that the Series B Common Unit Purchase Price constitutes the fair market value of the Series B Common Units as of the date hereof and will be treated as such by the Company for tax reporting purposes.

  • Each Voting Member shall have the right to one vote per full Series 1 Senior Preferred Unit, Junior Preferred Unit, Series A Common Unit or Series B Common Unit held by it.

Series B Common Unit shall have the meaning given to such term in the Prior Agreement.
Series B Common Unit has the meaning set forth in the Operating Agreement. “Series C Common Unit ” has the meaning set forth in the Operating Agreement.
