Series C Common Warrants definition

Series C Common Warrants means the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Series C Common Warrants shall be immediately exercisable following their issuance and have a term of exercise equal to twenty-four (24) months from the initial exercise date, in the form of Exhibit A attached hereto.
Series C Common Warrants means, collectively, the Series C Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, in the form of Exhibit A-1 attached hereto, which Series C Common Warrants shall be exercisable on or after the Stockholder Approval Date and have a term of exercise that expires on the five (5) year anniversary of the Stockholder Approval Date.
Series C Common Warrants means, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Series C Common Warrants shall be exercisable immediately upon issuance of such Series C Common Warrants and may be exercisable during a period of five (5) years commencing from their issuance, in substantially the form of Exhibit B-1 attached hereto.

  • Such Definitive Certificate shall be dated the original issue date of the Warrants and shall be executed manually or by facsimile by an authorized signatory of the Company and shall be in the form attached hereto as Exhibit B1 (as it relates to the Series A Common Warrants), Exhibit B2 (as it relates to the Series B Common Warrants) or Exhibit B3 (as it relates to the Series C Common Warrants).

  • The Definitive Certificates, together with the form of election to purchase Common Stock (the “Notice of Exercise”) and the form of assignment to be printed on the reverse thereof, shall be substantially in the form of Exhibit B1 (as it relates to the Series A Common Warrants), Exhibit B2 (as it relates to the Series B Common Warrants) or Exhibit B3 (as it relates to the Series C Common Warrants) attached hereto.

  • Series A Warrants means, collectively, the Series A Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof and the other Series A Warrants contemplated under Section 2.1 to be issued concurrently at the Closing, which Series A Warrants shall be exercisable beginning immediately and have a term of exercise equal to six (6) months, in the form of Exhibit B-1 attached hereto.

  • Class B Warrants means the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 5 years, in the form of Exhibit C attached hereto.

  • Series C Preferred Stock means shares of the Company’s Series C Preferred Stock, par value $0.001 per share.
