Service Provider Software licensed to Customer in this Section 6.1(b) and Service Provider Works will be deposited in escrow in accordance with the form of technology escrow agreement attached hereto as Schedule N.
To the extent that Service Provider Software and Service Provider Works placed in technology escrow in accordance with Section 6.1(b) and Section 20.3, is released pursuant to a release condition in Exhibit C of the Technology Escrow Agreement, Customer may use such Service Provider Software to the extent permitted by Exhibit C of the Technology Escrow Agreement.
Customer shall not remove, alter or otherwise render illegible any copyright or similar proprietary notices placed on any full or partial copy, modified or unmodified, of the SAP/PharMerica Interfaces or Service Provider Works licensed hereunder.
All Service Provider Works shall be delivered to Service Provider as requested or upon termination or completion of this Agreement, whichever is earlier.
Customer hereby assigns and transfers to Service Provider and its successors and assigns, and Service Provider hereby accepts from Customer, all of Customer’s right, title and interest in and to the Service Provider Works and any Intellectual Property therein, together with the right to xxx and recover damages for future, present and past infringements.
Unless they are deemed to be Service Provider Works, Customer Works, SAP/PharMerica Interfaces or Third Party Modifications pursuant to Sections 6.1(f)(1) – 6.1(f)(4), Customer and Service Provider shall have joint ownership of any newly created Intellectual Property made, created, developed or conceived (whether jointly or solely by Service Provider) in connection with the performance of this Agreement (the “Deliverables”).
The Service Provider hereby grants to the CCAC a non-exclusive, worldwide, royalty-free, fully paid-up and transferable licence to use, reproduce and sublicense the Service Provider Works in connection with the Services or the provision of the Services by the CCAC or another service provider or that service provider’s subcontractors.
Powerlink must not unreasonably withhold its consent to a Bi- directional Service Provider Works Change.
The Bi-directional Service Provider must undertake all those works (other than the Powerlink Works) required to test, commission and connect the Bi-directional Facility to the Transmission Network, including all Bi-directional Service Provider Works, to the applicable Powerlink Standards.
The Bi-directional Service Provider acknowledges and agrees that it must complete the Bi-directional Service Provider Works in accordance with this clause in a timely and co-ordinated manner so as to allow Powerlink to satisfy its obligations under this agreement.
