Serviced Securitized Companion Loan. Any Companion Loan that is a component of a Serviced Whole Loan, if and for so long as each such Companion Loan is included in a Regulation AB Companion Loan Securitization.
Serviced Securitized Companion Loan. Each of the 131 South Dearborn Pari Passu Companion Loan and the Merchandise Mart Pari Passu Companion Loan, if and for so long as each such mortgage loan is included in a Regulation AB Companion Loan Securitization.

  • The Swap Counterparty and each Mortgage Loan Seller and the Companion Holders (and their agents and permitted successors and assigns, including any trustee or servicer with respect to any Serviced Securitized Companion Loan or any other Companion Loan) are intended third-party beneficiaries in respect of the respective rights afforded them hereunder.

  • In addition, on or prior to each Determination Date (or with respect to any Serviced Securitized Companion Loan, on the Business Day prior to each related Serviced Whole Loan Remittance Date), the Special Servicer shall provide the applicable Master Servicer with a written accounting of amounts remitted to the such Master Servicer for deposit in its related Certificate Account, as applicable, on such date.

  • The Trustee, the Master Servicer and the Special Servicer shall not be required to cause the delivery of such reports until April 15 in any given year so long as it has received written confirmation from the Depositor that a Report on Form 10-K is not required to be filed in respect of the Trust Fund for the preceding calendar year (or, in the case of a securitized Serviced Securitized Companion Loan, the related securitization trust).

  • Upon receipt of such notice, the related "controlling class representative" (as defined in the related Other Pooling and Servicing Agreement) or analogous party shall have the right, at its option, to purchase its respective Serviced Securitized Companion Loan from the trust established pursuant to the related Other Pooling and Servicing Agreement for a price determined by the Special Servicer in accordance with Section 3.18 hereof, with respect to such Securitized Companion Loan.

  • Each Mortgage Loan Seller and the Companion Holders (and their agents and permitted successors and assigns, including any trustee or servicer with respect to any Serviced Securitized Companion Loan or any other Companion Loan) are intended third-party beneficiaries in respect of the respective rights afforded them hereunder.

  • With respect to any Serviced Securitized Companion Loan, the Master Servicer will be required to make its determination that it has made a P&I Advance on the related Mortgage Loan that is a Nonrecoverable Advance or that any proposed P&I Advance would, if made, constitute a Nonrecoverable Advance with respect to the related Mortgage Loan independently of any determination made by any other servicer under any Other Pooling and Servicing Agreement in respect of any related Companion Loan.

Related to Serviced Securitized Companion Loan

  • Serviced Companion Loan A Companion Loan that is part of a Serviced Loan Combination. With respect to each Servicing Shift Mortgage Loan and the related Servicing Shift Loan Combination, each related Companion Loan will no longer be a Serviced Companion Loan on and after the related Servicing Shift Date.

  • Companion Loan As defined in the Introductory Statement.

  • Serviced Companion Loan Holder The holder of a Serviced Companion Loan.

  • Serviced Pari Passu Companion Loan A Pari Passu Companion Loan that is part of a Serviced Loan Combination. With respect to each Servicing Shift Mortgage Loan and the related Servicing Shift Loan Combination, each related Pari Passu Companion Loan will cease to be a Serviced Pari Passu Companion Loan on and after the related Servicing Shift Date.

  • Serviced Companion Loan Securities Any commercial mortgage-backed securities that evidence an interest in or are secured by the assets of an Other Securitization Trust, which assets include a Serviced Companion Loan (or a portion thereof or interest therein).

  • REO Companion Loan Any Serviced Companion Loan if the related Mortgaged Property has become an REO Property.

  • Serviced Pari Passu Companion Loan Holder A holder of a Serviced Pari Passu Companion Loan.

  • Pari Passu Companion Loan A Companion Loan that, pursuant to the related Loan Documents and/or the related Co-Lender Agreement, is pari passu in right of payment to the related Split Mortgage Loan. The only Pari Passu Companion Loans related to the Trust as of the Closing Date are evidenced by the Notes identified in the Loan Combination Table under the column heading “Pari Passu Companion Loan(s),” each of which Notes evidences a separate Pari Passu Companion Loan.

  • Whole Loan As defined in the Introductory Statement.

  • Companion Loan Holder The holder of a Companion Loan.

  • Serviced Loan Combination A Loan Combination that is being serviced pursuant to this Agreement. The only Serviced Loan Combinations related to the Trust as of the Closing Date are the Loan Combinations as to which “Serviced” is set forth in the Loan Combination Table under the column heading “Servicing Type,” together with any Servicing Shift Loan Combinations. A Servicing Shift Loan Combination will no longer be a Serviced Loan Combination on and after the related Servicing Shift Date.

  • Subserviced Mortgage Loan Any Mortgage Loan that, at the time of reference thereto, is subject to a Subservicing Agreement.

  • Serviced Mortgage Loan A Mortgage Loan that is not an Outside Serviced Mortgage Loan.

  • Special Serviced Mortgage Loan The Mortgage Loans for which the Special Servicer acts as servicer pursuant to Section 3.19.

  • Note A-1 Securitization means the first sale by the Note A-1 Holder of all or a portion of Note A-1 to a depositor who will in turn include such portion of Note A-1 as part of the securitization of one or more mortgage loans.

  • Note A-6 Securitization Date means the closing date of the Note A-6 Securitization.

  • Other Servicer Mortgage Loan Any of the Mortgage Loans, if any, identified in Exhibit F-2 hereto, as such Exhibit may be amended from time to time in connection with a substitution pursuant to Sections 2.02 or 2.06, which Mortgage Loan is serviced under an Other Servicing Agreement.

  • Note A-1 Securitization Date means the closing date of the Note A-1 Securitization.

  • Note A-4 Securitization Date means the closing date of the Note A-4 Securitization.

  • Serviced Loan A Serviced Mortgage Loan or Serviced Companion Loan.

  • Note A-1-1 Securitization means the first sale by the Note A-1-1 Holder of all or a portion of Note A-1-1 to a depositor who will in turn include such portion of Note A-1-1 as part of the securitization of one or more mortgage loans.

  • Note A-6 Securitization means the first sale by the Note A-6 Holder of all or a portion of Note A-6 to a depositor who will in turn include such portion of Note A-6 as part of the securitization of one or more mortgage loans.

  • Non-Serviced Mortgage Loan means a Mortgage Loan included in the Trust but serviced under another agreement. There are no Non-Serviced Mortgage Loans in the Trust.

  • Performing Serviced Mortgage Loan A Serviced Mortgage Loan that is not, and is not part of, a Specially Serviced Loan or REO Loan.

  • Lead Securitization Servicing Agreement means (i) the pooling and servicing agreement or other comparable agreement related to the Lead Securitization, and (ii) on and after the date on which the Mortgage Loan is no longer subject to the provisions of the Lead Securitization Servicing Agreement, the “Lead Securitization Servicing Agreement” shall be determined in accordance with the second paragraph of Section 2(a).

  • Lead Securitization Note means the Note included in the Lead Securitization.
