Servier Indemnitees definition

Servier Indemnitees has the meaning set forth in Section 13.2.

Servier Indemnitees means Servier, its Affiliates and the directors, officers and employees of Servier and its Affiliates.

• XOMA shall not be obligated to pay the fees and expenses of more than one team of counsel in the event of multiple Servier Indemnitees who engage multiple counsel pursuant to the provisions of clause (b) of the preceding sentence.

• XOMA shall not consent to the entry of any judgment or enter into any settlement that would require any act (including reimbursement, as described below) or forbearance on the part of the Servier Indemnitees or which does not unconditionally release the Servier Indemnitees from all liability in respect of the Third-Party Claim without the prior written consent of the Servier Indemnitee.
