Setup Fees definition

Setup Fees the fees payable for the initialisation of the Software or the Services as described in an Order. Software: the online software applications provided by Switchee as part of the Services. Subscription Fees: the subscription fees payable by the Customer to Switchee for the Property Subscriptions, as set out in an Order. Subscription Term: in respect of each Order Form, the Initial Subscription Term together with any subsequent Renewal Periods. Resident: each permitted occupier who has a habitual right to reside in the property where a Switchee is installed. Virus: anything or device (including any software, code, file or programme) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); or adversely affect the user experience, including worms, trojan horses, viruses and other similar things or devices.
Setup Fees means the setup fees set out in the matX Order Form or on an Exchange; Software means the software used to provide any of the matX Services, and includes any instructions in hard copy or electronic form and any update, modification or release of any part of that software after this Agreement is entered into by the Parties; Subscription Fees means (if applicable) the fees as set out in the matX Order Form or on an Exchange; System means all hardware, software, networks and other IT systems used by a Party from time to time, including a network; and
Setup Fees means the fees payable by Customer for the Setup Services, as set out in Item 1 of Schedule 3.

Examples of Setup Fees in a sentence

  • All Setup Fees will be billed upon receipt of a Customer signed IDC Services Order Form.

  • Notwithstanding anything to the contrary contained herein, Set-up Fees that are amortized over the term of the applicable Lease shall be included in determinations of Net Operating Income.

  • Product Setup Fees, Connector Development Fees and Payment Gateway integration fees or any customization charges to be paid in advance.

  • Customer shall pay all costs of enforcement of the payment of the Set-up Fees, Maintenance Fees and Development Fees, including any court costs and attorney’s fees.

  • In consideration of the license rights granted in Article 2 above, Licensee shall pay the License Fees, Setup Fees and other consideration for the Software and Documentation as set forth in Exhibit "A" attached hereto.


More Definitions of Setup Fees

Setup Fees means the total non-recurring fees for setup of the Patient Portal.
Setup Fees means the fee(s) paid by District to D2SC, as set forth in Schedule 1, in consideration for D2SC’s implementation, consultative advice on the development and management of the Applications.
