Share Segregation Condition definition

Share Segregation Condition means that, with respect to any Pledged Share, that such Pledged Share is, and at all times at or after the time at which such Pledged Share was transferred by or on behalf of Borrower or its Affiliates to a Collateral Account has been, held in a Collateral Account that (i) solely contains Pledged Shares that are subject to no Transfer Restrictions other than Transfer Restrictions to which such Pledged Share are subject, and (ii) bears a separate account number from the account number of, and the contents of which are otherwise segregated from, and not commingled with, the contents of, any other Collateral Account containing Pledged Shares that were transferred by or on behalf of Borrower or its Affiliates to a Collateral Account that are subject to any other Transfer Restrictions. For the avoidance of doubt, and without limitation of the foregoing, any Pledged Share constituting an IDR Reset Share shall at all times be held in one or more Collateral Accounts separate from any Collateral Accounts holding any Pledged Share that does not constitute an IDR Reset Share until such time, if any, as the IDR Reset Shares are no longer subject to any Transfer Restrictions different from those of any of the other Pledged Shares in such Collateral Account.
Share Segregation Condition means that, with respect to any Collateral Share, that such Collateral Share is and, at all times at or after the time at which such Collateral Share was transferred by or on behalf of Pledgor or its Affiliates to a Collateral Account, has been held in a Collateral Account that (i) solely contains Collateral Shares that (x) were transferred by or on behalf of Pledgor or its Affiliates to a Collateral Account on the same date as such Collateral Share and (y) are subject to no Transfer Restrictions other than Transfer Restrictions to which such Collateral Shares are subject, (ii) bears a separate account number from the account number of, and the contents of which are otherwise segregated from, and not commingled with, the contents of, any other Collateral Account containing Collateral Shares that were transferred by or on behalf of Pledgor or its Affiliates to a Collateral Account on any other date and/or that are subject to any other Transfer Restrictions and (iii) each Lender holds the Collateral Shares of such type in accordance with their respective Applicable Percentages. For the avoidance of doubt, and without limitation of the foregoing, any Collateral Share constituting a Purging Dividend Share shall at all times be held in one or more Collateral Accounts separate from any Collateral Accounts holding any Collateral Share that does not constitute a Purging Dividend Share.
Share Segregation Condition means that, with respect to security entitlements in respect of Collateral Shares, such Collateral Shares are and, at all times at or after the time at which such Collateral Shares were transferred by or on behalf of Borrower or its Affiliates to a Collateral Account, have been held in a sub-account of such Collateral Account that (a) does not contain Collateral Shares other than (1) Collateral Shares that were transferred by or on behalf of Borrower or its Affiliates to such Collateral Account during the same Share Pledge Period as such Collateral Shares, and (2) Collateral Shares that are subject to the same Transfer Restrictions, if any, as all other Collateral Shares in such Collateral Account, and (b) bears a separate sub-account number from the sub-account number of, and the contents of which are otherwise segregated from, and not commingled with, the contents of, any other sub-account of any Collateral Account containing Collateral Shares that were transferred by or on behalf of a Borrower or its Affiliates to a Collateral Account during any other Share Pledge Period and/or that are subject to any different Transfer Restrictions. For the avoidance of doubt, and without limitation of the foregoing, any sub-account of Collateral Account may hold Cash, Cash Equivalents or Other Acceptable Collateral.

  • Borrower shall comply with the Collateral Requirement and Share Segregation Condition in all respects, and shall promptly notify Administrative Agent as soon as it has knowledge that the value of any Collateral has been or may be materially impaired and/or knowledge that any Lien under the Facility Documents with respect to any Collateral has been or may be or will become materially impaired.

  • Payment Conditions means, at the time of determination with respect to a proposed payment to fund a Specified Transaction, that:

Those conditions which are not within the control of Grantee include, but are not limited to, natural disasters, civil disturbances, power outages, telephone network outages, and severe or unusual weather conditions. Those conditions which are ordinarily within the control of Grantee include, but are not limited to, special promotions, pay-per-view events, rate increases, regular peak or seasonal demand periods, and maintenance or upgrade of the Cable System.

  • Eligibility Date means, with respect to each Borrower and Guarantor and each Swap, the date on which this Agreement or any Other Document becomes effective with respect to such Swap (for the avoidance of doubt, the Eligibility Date shall be the Effective Date of such Swap if this Agreement or any Other Document is then in effect with respect to such Borrower or Guarantor, and otherwise it shall be the Effective Date of this Agreement and/or such Other Document(s) to which such Borrower or Guarantor is a party).
