Shelf Resale Notice definition

Shelf Resale Notice has the meaning specified in Section 3(b).
Shelf Resale Notice shall have the meaning set forth in Section 2.01(b).

  • No Shelf Resale shall be permitted during any Scheduled Black-out Period and no Shelf Resale Notice that would result in a Shelf Resale during any Scheduled Black-out Period shall be permitted to be given.

  • If the Holder or the Broker, as the case may be, receives or is deemed to have received a Company Shelf Response pursuant to the foregoing, the Holder or the Broker, as the case may be, shall then have ten business days after receipt of such Company Shelf Response in which to sell, transfer or otherwise dispose of the shares subject to the Shelf Resale Notice.

  • Any Stockholder who receives or is deemed to have received a Company Shelf Response pursuant to the foregoing shall then have ten business days after receipt of such Company Shelf Response in which to sell, transfer or otherwise dispose of the shares subject to the Shelf Resale Notice.
