Significant Unitholder definition

Significant Unitholder means a person or company that has beneficial ownership of, or control or direction over, whether direct or indirect, or a combination of beneficial ownership of, and control or direction over, whether direct or indirect, Securities of FCR carrying more than 10 per cent of the voting rights attached to all FCR’s outstanding voting Securities, excluding, for the purpose of the calculation of the percentage held, any Securities held by the person or company as underwriter in the course of a distribution (a person or company is a Significant Unitholder based on post-conversion beneficial ownership if the person or company is not a Significant Unitholder but the person or company has beneficial ownership of, post-conversion beneficial ownership of, control or direction over, whether direct or indirect, or any combination of beneficial ownership of, post-conversion beneficial ownership of, or control or direction over, whether direct or indirect, securities of FCR carrying more than 10 per cent of the voting rights attached to all FCR’s outstanding voting Securities, calculated as follows: (i) FCR’s outstanding voting Securities include Securities in respect of which a person or company has post- conversion beneficial ownership, and (ii) a person or company may exclude any Securities held by the person or company as underwriter in the course of a distribution).
Significant Unitholder means any Unitholder having beneficial ownership of 5% or more of all of the issued and outstanding Common Units or any Unitholder that has notified the Partnership in writing that such Unitholder beneficially owns 2% or more of all of the issued and outstanding Common Units.
Significant Unitholder means any entity holding 5% or more of the total corpus of any scheme managed by the member and includes all entities directly or indirectly controlled by such a unitholder.
