SIS Notes definition

SIS Notes means any Series of Notes which is denominated in Swiss francs and is deposited with SIX SIS AG, Olten, Switzerland (or such other depository as is specified in the relevant Final Terms) and listed on SIX Swiss Exchange Ltd.
SIS Notes means Notes that are, or are intended to be, deposited or registered with SIS (as defined below) or any other clearing institution recognized by the SIX Swiss Exchange Ltd (the “SIX Swiss Exchange”).

Examples of SIS Notes in a sentence

  • In the case of SIS Notes, until such time as definitive Notes, Receipts and Coupons have been issued (if any), the expressions “Notes”, “Receipts” and “Coupons” shall mean and include co-ownership under the permanent global Note and the expressions “Noteholder”, “Receiptholder” and “Couponholder” shall mean and include any person entitled to co-ownership and further benefit under the permanent global Note.

  • Bearer SIS Notes denominated in Swiss Francs which fulfil these requirements are hereinafter referred to as CHF SIS Notes.

  • The Issuer will irrevocably authorise the relevant lead manager (in the case of any SIS Notes which are listed on the SWX) or otherwise the Principal Swiss Paying Agent to provide for such printing on its behalf.

  • In the case of SIS Notes, each Noteholder retains co- ownership in the permanent global Note to the extent of his claim against the Issuer.

  • In the case of SIS Notes, no printing of definitive Notes, Receipts or Coupons will occur (except as provided herein).

  • Instead, such holders will be permitted to act only to the extent that they are enabled by the relevant clearing system and its participants to appoint appropriate proxies.Special rules apply to SIS Notes.

  • Once the Permanent Global SIS Note representing the Bearer SIS Notes has been deposited with the Intermediary and entered into the accounts of one or more participants of the Intermediary, such Bearer SIS Notes will constitute intermediated securities (Bucheffekten) within the meaning of the Swiss Federal Intermediated Securities Act (Bucheffektengesetz) (Intermediated Securities).

  • The Issuer irrevocably authorises the relevant Dealer (in the case of any Bearer SIS Notes that are listed on SIX Swiss Exchange) or the Principal Swiss Paying Agent (in the case of any Bearer SIS Notes that are not listed as aforesaid) to provide for such printing on its behalf.

  • SIS Notes may be denominated in Swiss Francs or other currencies approved by the Intermediary.

  • Uncertificated SIS Notes may also only be transferred by the entry of the transferred Uncertificates SIS Notes in a securities account of the transferee held with a participant of the Intermediary.

  • 2028 Notes has the meaning assigned to it in the preamble to this Indenture.

  • 2011 Notes means those certain notes issued pursuant to the Note Purchase Agreement dated as of March 22, 2011 among the Company and the purchasers named in Schedule A thereto.

  • 2019 Notes has the meaning set forth in the definition of “2018 Exchange Offers”.

  • 2017 Notes means the aggregate principal amount of US$600,000,000 of 6.25% Guaranteed Senior Notes Due 2017 issued pursuant to the 2017 Note Indenture.

  • B Notes means each of Note B-1 and Note B-2.

  • Subordinated Notes means the Initial Notes and the Exchange Notes and, more particularly, any Subordinated Note authenticated and delivered under this Indenture, including those Subordinated Notes issued or authenticated upon transfer, replacement or exchange.

  • A Notes means each Note that has a designation starting with “A”, either individually or in the aggregate as the context may require.

  • 2023 Notes means the 6 7/8% Notes due 2023 issued by NTL pursuant to the 1988 Indenture.

  • 2024 Notes means the 7.625% unsecured notes due April 15, 2024, issued pursuant to the 2009 Notes Indenture.

  • Senior Notes means $500,000,000 in aggregate principal amount of the Borrower’s 6.75% senior unsecured notes due 2025 issued pursuant to the Senior Notes Indenture on the Closing Date.

  • 2021 Notes means the 4.700% Senior Notes due 2021, originally issued by Ensco plc (now Valaris), a public limited company organized under the laws of England and Wales.

  • Existing Notes means, collectively, the Existing Senior Guaranteed Notes and the Existing Senior Notes.

  • 2012 Notes means the 5.125% Senior Secured Notes due 2022 issued by the Issuer on July 2, 2012.

  • 2018 Notes means the Company’s 7.75% Senior Subordinated Notes due 2018 issued under the Indenture dated December 14, 2010 among the Company, Holdings and the subsidiary guarantors from time to time party thereto and The Bank of New York Mellon Trust Company, N.A., as Trustee.

  • New Notes shall have the meaning assigned to such term in Section 32.

  • 2020 Notes means the 6.875% Senior Notes due 2020, issued by Pride International LLC, a Delaware limited liability company.

  • Bridge Notes means the series of notes, of which this Note is a part, dated on or about the date hereof, each of which are identical, other than the date of the Note, identity of the Holder and principal amount of this Note.

  • Original Notes means the Initial Notes and any Exchange Notes issued in exchange therefor.
