  • In the event that a party violates the non-solicitation provisions hereof, and such violation causes a Solicited Party’s employee or contractor to leave the Solicited Party’s employ, the Soliciting Party agrees to pay the Solicited Party a sum equal to the solicited employee’s annualized gross salary (including bonuses) in affect at the time of his/her departure from the Solicited Party.

  • In the event of a party’s violation or threatened violation of this Section, the Soliciting Party agrees that, without limiting any other legal or equitable remedies available to the Solicited Party, the Solicited Party shall be entitled to equitable relief by injunction or otherwise from any court of competent jurisdiction without the need to post a bond of any kind therefore.

  • In the event of a party’s violation or threatened violation of this Section 16, the Soliciting Party agrees that, without limiting any other legal or equitable remedies available to the Solicited Party, the Solicited Party shall be entitled to equitable relief by injunction or otherwise from any court of competent jurisdiction without the need to post a bond of any kind therefore.

  • For so long as this Agreement shall remain in effect (including any renewals, replacements or extensions hereof) and for a period of one (1) year following termination, regardless of the reason therefore, the parties agree that they shall not, directly or indirectly, solicit or encourage, or attempt to solicit or encourage any employee or contractor of the Solicited Party to leave Solicited Party’s employ.

  • Such notice shall indicate the identity of the Person making such proposal, inquiry, offer or request and include a copy of the Acquisition Proposal and such other material terms and conditions of the Acquisition Proposal known by the Solicited Party.

More Definitions of Solicited Party

Solicited Party means a Party who receives a written Acquisition Proposal which was not solicited or encouraged by such Party and did not otherwise result from a breach of the non-solicitation covenants in the Arrangement Agreement;

  • Solicit means (A) requesting that a contribution be made, (B) participating in any fund-raising activities for a candidate committee, exploratory committee, political committee or party committee, including, but not limited to, forwarding tickets to potential contributors, receiving contributions for transmission to any such committee or bundling contributions, (C) serving as chairperson, treasurer or deputy treasurer of any such committee, or (D) establishing a political committee for the sole purpose of soliciting or receiving contributions for any committee. Solicit does not include: (i) making a contribution that is otherwise permitted by Chapter 155 of the Connecticut General Statutes; (ii) informing any person of a position taken by a candidate for public office or a public official, (iii) notifying the person of any activities of, or contact information for, any candidate for public office; or (iv) serving as a member in any party committee or as an officer of such committee that is not otherwise prohibited in this section.

  • Unsolicited proposal means a written proposal for a public-private initiative that is submitted by a private entity for the purpose of entering into an agreement with the department but that is not in response to a formal solicitation or request issued by the department.

  • Bid Solicitation means a formal request for Bids including an Informal Quotation, Request for Quotation, Request for Pre-Qualification, Request for Tender, Request for Proposal, Negotiated Request for Proposal, or Request for Expression of Interest;
