Special Repayment definition

Special Repayment means a redemption or other repayment of Allocated Existing Indenture Debt other than pursuant to the closing of a tender offer.

Examples of Special Repayment in a sentence

  • Your Minimum Payment due is equal to your Minimum Payment plus the Special Repayment Terms for any Promotional Credit Plans with a special repayment term plus any debt cancellation fees or credit insurance premiums attributable to any Reduced Rate/Special Repayment Terms Credit plans plus any delinquent amounts.

  • The Minimum Payment is the greater of a.) $25 or b.) 1% of your “New Balance” (which does not include balances on Special Repayment Terms Credit Plans) plus billed Interest Charges plus any Late Fees assessed for that month, rounded to the next highest dollar.

  • An additional Special Repayment shall be owed in the circumstances described below.

  • Nothing in this Agreement or in the Second Amended Note will be deemed to prevent or excuse any delinquency in making installment payments under the Second Amended Note, nor will any Special Repayment be deemed any type of prepayment of one or more monthly installment payments under the Second Amended Note.

  • Any Special Repayment shall be applied to reduce outstanding principal on the Second Amended Note; provided, however, that if Borrowers are at that time delinquent in any installment payment or other amount then owed under the Second Amended Note, the Special Repayment will be applied first to satisfy the delinquency and the balance, if any, will be applied to reduce outstanding principal.

  • Except as expressly provided above in this subsection (iv), each Special Repayment shall be applied to principal payments in the inverse order of their due date.

  • Notwithstanding anything to the contrary contained herein, the Company and its Material Subsidiaries shall not be prohibited under this Indenture from making the Special Repayment of Principal (as defined in the indenture, as in existence on the Issue Date, governing the Third Lien Notes).

  • For New Purchases and balances: No interest is charged in a billing cycle on a Regular, Reduced Rate, or Special Repayment Terms Credit Plans if the combined Previous Balance of those Plans at the beginning of the cycle is: a) zero; or b) a credit balance (e.g., less than zero); or c) paid in full before the Payment Due Date that falls during the cycle; 2.

  • Except as expressly provided above in this subsection (d), each Special Repayment shall be applied to principal payments in the inverse order of their due date.

  • The Company shall be subject to the obligations specified under Section 1029, Special Repayment of Principal, of the Indenture.

Related to Special Repayment

  • Final Repayment Date means the date falling on the earlier of (i) the date falling on the sixth anniversary of the Drawdown Date and (ii) 30 November 2023.

  • Loan Repayment Date means the date a Loan is scheduled to be repaid, as confirmed pursuant to Clause 5.3(c) of this Agreement, which shall in no event be later than the earlier of (i) the date falling six (6) Months from the relevant Utilisation Date and (ii) the Facility Repayment Date.

  • Loan repayment means the cancellation and repayment of loans

  • Term Loan Repayment Date shall have the meaning assigned to such term in Section 2.09.

  • Extended Repayment Date shall have the meaning provided in Section 2.5(c).

  • Incremental Term Loan Repayment Dates means the dates scheduled for the repayment of principal of any Incremental Term Loan, as set forth in the applicable Incremental Term Loan Assumption Agreement.

  • Extended Term Loan Repayment Amount shall have the meaning provided in Section 2.5(c).

  • Default Repayment Date means the settlement date set out by the Bond Trustee in a Default Notice requesting early redemption of the Bonds.

  • First Repayment Date means, in relation to each Tranche (and subject to clause 6.3), the date falling three (3) months after the earlier of (a) the Drawdown Date of the Delivery Advance relevant to such Tranche and (b) the last day of the Drawdown Period for the Delivery Advance relevant to such Tranche;

  • Scheduled Repayment shall have the meaning provided in Section 4.02(a).

  • Put Option Repayment Date means the settlement date for the Put Option pursuant to Clause 10.3 (Mandatory repurchase due to a Put Option Event).

  • Call Option Repayment Date means the settlement date for the Call Option determined by the Issuer pursuant to Clause 10.2 (Voluntary early redemption – Call Option), Clause 10.3(d) or a date agreed upon between the Bond Trustee and the Issuer in connection with such redemption of Bonds.

  • Prepayment Premium Period means the period during which, if a prepayment of principal occurs, a prepayment premium will be payable by Borrower to Lender. The Prepayment Premium Period is the period from and including the date of this Note until but not including the first day of the Window Period.

  • New Term Loan Repayment Amount shall have the meaning provided in Section 2.5(c).

  • Initial Term Loan Repayment Date shall have the meaning provided in Section 2.5(b).

  • Initial Term Loan Repayment Amount shall have the meaning provided in Section 2.5(b).

  • Mandatory Prepayment Date as defined in Section 2.12(e).

  • Repayment Dates means, subject to clause 7.3, each of the dates falling at six (6) monthly intervals after the Drawdown Date up to and including the date falling one hundred and forty four (144) months after the Drawdown Date;

  • Loan Repayments means the sum of (i) Trust Bond Loan Repayments, (ii) the Administrative Fee and (iii) any late charges incurred under the provisions of a Loan Agreement.

  • Partial Prepayment Amount means the amount required to prepay a portion of the Annual Special Tax obligation for an Assessor’s Parcel as described in Section H.

  • Prepayment means, with respect to any Receivable, any prepayment, whether in part or in full, in respect of such Receivable.

  • Prepayment Premium means, with respect to the Mortgage Loan, any prepayment premium, spread maintenance premium, yield maintenance premium or similar fee required to be paid in connection with a prepayment of the Mortgage Loan pursuant to the Mortgage Loan Documents, including any exit fee.

  • Optional Prepayment Date has the meaning specified in Section 4.b hereof.

  • Mandatory Prepayment Amount for any Debentures shall equal the sum of (i) the greater of: (A) 130% of the principal amount of Debentures to be prepaid, plus all accrued and unpaid interest thereon, or (B) the principal amount of Debentures to be prepaid, plus all other accrued and unpaid interest hereon, divided by the Conversion Price on (x) the date the Mandatory Prepayment Amount is demanded or otherwise due or (y) the date the Mandatory Prepayment Amount is paid in full, whichever is less, multiplied by the VWAP on (x) the date the Mandatory Prepayment Amount is demanded or otherwise due or (y) the date the Mandatory Prepayment Amount is paid in full, whichever is greater, and (ii) all other amounts, costs, expenses and liquidated damages due in respect of such Debentures.

  • Prepayment Premiums Any prepayment fees and penalties to be paid by the Mortgagor on a Mortgage Loan.

  • ECF Prepayment Amount has the meaning assigned to such term in Section 2.11(b)(i).
