Special Restricted Stock definition

Special Restricted Stock means Restricted Stock granted under Subsection 6.04(i)(b), subject to the maximum Share limitation set forth in Section 7.02.4.
Special Restricted Stock means the 50,000 shares of restricted Common Stock provided to Executive under the terms of the Employment Agreement dated May 10, 1999 between Executive and the Company, which restricted stock is to be issued and distributed to Executive as follows: (1) 25,000 shares which shall vest over a period of five years beginning May 10, 1999 in three equal annual installments commencing on May 10, 2002, (2) 12,500 shares which shall vest on May 10, 2004, and (3) 12,500 shares which shall vest on May 10, 2009, subject to the terms, conditions and adjustments set forth in Section 8 below.
Special Restricted Stock means the restricted shares of the Company’s common stock, which were or will be granted to the Participant under the Company’s 2000 Stock Option and Incentive Award Plan as a special incentive to remain employed with the Company, and which had or will have a value (without discount for the restrictions) of $250,000 at the time of grant.

  • A maximum of 225,000 Shares may be made subject to Awards of Special Restricted Stock and Special Deferred Stock, in the aggregate, under the Plan during the term hereof.
