Specified Member definition

Specified Member has the meaning given in clause 6.

Specified Member is defined in Section 10.6 hereof.

Specified Member means Bombe, Ltd. and any of its Affiliates who are or become a Member pursuant to this Agreement.

Examples of Specified Member in a sentence

• The aforesaid purchase shall be at a price equal to the Company Financial Interest (as defined in Section 10.7 below) of the Specified Member computed as of the last day of the month immediately preceding the date of the occurrence of the Specified Event.

• Notwithstanding the terms of this Agreement, the Confidentiality Agreement, any Employment Agreement or any other agreement between the Member and any Specified Member Employee, Buyer shall have the right, but not the obligation, to contact any Specified Member Employee to discuss potential employment of such Specified Member Employee.

More Definitions of Specified Member

Specified Member means any Member that holds Units, at the applicable time, representing more than 5% of the Aggregate Unit Sharing Percentage.

Specified Member has the meaning set forth in Section 8.01.

Specified Member means a Member who at the date of his admission to the Plan or, if he has been admitted to membership more than once, the date of his last admission, was eligible for membership in accordance with the proviso to sub- rule (a) of Rule 2, and shall include any other Member who has been notified (whether under Rule 4 or otherwise) of the benefits payable to and in respect of him from the Plan and such benefits are described in Parts III or IV of the Schedule to the Rules.

Specified Member means a Member who at the date of his admission to the Plan or, if he has been admitted to membership more than once, the date of his last such admission, was eligible for membership in accordance with the Proviso to Rule 2(a).’ [Schedule 1; Part 1]

Specified Member means any Person who is or was a member of, a quotaholder of, a partner in, or a beneficiary of a Holder, or any person who otherwise holds or held a direct or indirect interest (whether through one or more intermediary Persons) in a Holder or in the Series A Preference Shares of a Holder.

Specified Member means each of XxXxxxxxx and Xxxxx; provided that, ----------------- -------- from and after the date a Forfeiture Event has occurred with respect to either such Person, such Person shall no longer constitute a "Specified Member." ----------------

Specified Member means the person or entity designated in Item 1 of the Evidence of Insurance. ”Underwriters” means those interested Underwriters at Lloyd’s, London who subscribe to this Policy and who are listed by endorsement to this Policy.
