Except for the Specified Warranties and any statutory warranty to which a CPA Customer may be entitled, LEAD makes no representations and gives no warranties or guarantees whatsoever (express or implied) in connection with the Goods.
Any Person that services Mortgage Loans on behalf of the Seller or any Subservicer and is responsible for the performance (whether directly or through Subservicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed by the Seller under this Agreement or any applicable Reconstitution Agreement related thereto that are identified in Item 1122(d) of Regulation AB.
Seller’s liability for breach of any of the Specified Warranties pursuant to section 4 of this Agreement shall be limited to 50% (per centum) of the sum of the Initial Purchase Price (as adjusted pursuant to section 3.2) plus any portions of the Contingent Consideration previously received by the Seller.
The aggregate liability of the Seller with respect to claims made pursuant to Clause 10.2 of this Agreement shall not exceed the Escrow Funds, except that such limitation shall not apply to any claim for breach of any of the Specified Warranties.
Payments for settlement of claims under this Agreement shall exclusively be made from the Escrow Funds in accordance with the terms of the Escrow Agreement except that such limitation shall not apply to any claims under the Specified Warranties.
