Spinco Assignor shall have the meaning set forth in Section 2.9(b) of this Agreement.
Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.
SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.
RemainCo shall have the meaning set forth in the Preamble.
SpinCo Assets shall have the meaning set forth in Section 2.2(a).
SpinCo Liabilities shall have the meaning set forth in Section 2.3(a).
SpinCo shall have the meaning set forth in the Preamble.
SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”
SpinCo Contracts means the following contracts and agreements to which either Party or any other member of its Group is a party or by which it or any other member of its Group or any of their respective Assets is bound, whether or not in writing, in each case as in effect as of immediately prior to the Effective Time:
Retained Liabilities has the meaning set forth in Section 2.4.
OPC has the meaning specified in the recital of parties to this Agreement.
MPI means the Borrower’s Ministry of Planning and Investment, and any successor thereto.
SpinCo Employee has the meaning set forth in the Employee Matters Agreement.
Verizon means Verizon Communications Inc., a Delaware corporation.
MPC means the Main Press Centre.
Company Service Provider means an employee, individual consultant, individual independent contractor, individual self-employed contractor, leased or temporary employee or director of the Company or any of its Subsidiaries.
Transfer Time means, in relation to any Subsequent Account Holder’s Entry, the time at which such Entry is credited to his Securities Account.
Sub-Service Provider means any person / firm / Organization / company /entity (other than the Service Provider) and it’s legal representatives, successors and permitted assigns named in the Contract as a Sub-Service Provider for a part of the Services or to whom a part of the Services has been sub-Contracted with the written prior consent of the Employer.
Transferred Liabilities has the meaning ascribed to such term in the Separation Agreement.
Newco has the meaning set forth in the first paragraph of this Agreement.
SpinCo Separate Return means any Tax Return of or including any member of the SpinCo Group (including any consolidated, combined, or unitary return) that does not include any member of the Parent Group.
Excluded Liabilities has the meaning set forth in Section 2.4.
SpinCo Indemnitees shall have the meaning set forth in Section 4.3.
Acquirer means a business organization, financial institution, or an agent of a business organization or financial institution that has authority from an organization that operates or licenses a credit card system to authorize merchants to accept, transmit, or process payment by credit card through the credit card system for money, goods or services, or anything else of value.
SAP Group means SAP Parent and any of its Associated Companies.
Intra-Group Liabilities means the Liabilities owed by any member of the Group to any of the Intra-Group Lenders.
Excluded Liability means any liability that is excluded under the Bail-In Legislation from the scope of any Bail-In Action including, without limitation, any liability excluded pursuant to Article 44 of the Bank Recovery and Resolution Directive.
