SpinCo Separate Return definition

SpinCo Separate Return means any Separate Return of SpinCo or any member of the SpinCo Group.

SpinCo Separate Return means any Tax Return of or including any member of the SpinCo Group (including any consolidated, combined, or unitary return) that does not include any member of the Parent Group.

SpinCo Separate Return means any Tax Return of or including any member of the Spinco Group (including any consolidated, combined or unitary return) that does not include any member of the KAR Group.

Examples of SpinCo Separate Return in a sentence

• SpinCo shall pay, or cause to be paid, and shall be responsible for, any and all Income Taxes or Other Taxes due or required to be paid with respect to or required to be reported on any SpinCo Separate Return (including any increase in such Income Tax Liabilities or Other Tax Liabilities as a result of a Final Determination).

• SpinCo shall pay, or cause to be paid, and shall be responsible for, any and all Taxes due or required to be paid with respect to or required to be reported on any SpinCo Separate Return (including any increase in such Tax Liabilities attributable to a Final Determination).

• With respect to any Tax Return relating to any Tax Period (or portion thereof) ending on or prior to the Deconsolidation Date, which Tax Return otherwise would be a SpinCo Separate Return, SpinCo will elect and join, and will cause its Affiliates to elect and join, in filing consolidated, unitary, combined, or other similar joint Tax Returns, to the extent each entity is eligible to join in such Tax Returns, upon XPO’s request.

• In furtherance of and without limiting Section 4.06(a), SpinCo shall provide Parent, at least 30 days in advance of the relevant Due Date, any Section 2.03(c) Return that is a SpinCo Separate Return (and any related workpapers) for Parent’s review and comment.

• SpinCo shall be entitled to all Refunds (and any interest thereon received from the applicable Tax Authority) in respect of Income Taxes and Other Taxes paid with respect to any Tax Return filed by SpinCo or any member of the SpinCo Group (including, without limitation, any SpinCo Separate Return filed before the Closing Date).

More Definitions of SpinCo Separate Return

SpinCo Separate Return means any Separate Return required to be filed by SpinCo or any member of the SpinCo Group, including, without limitation, (a) any consolidated U.S. federal Income Tax Return of the SpinCo Consolidated Group required to be filed with respect to a Post-Distribution Taxable Period and (b) any consolidated U.S. federal Income Tax Return for any group of which any member of the SpinCo Group was the common parent.

SpinCo Separate Return means a Tax Return of any member of the SpinCo Group (including any consolidated, combined, affiliated or unitary Return) that does not include, for all or any portion of the relevant taxable period, any member of the Honeywell Group.

SpinCo Separate Return means any Separate Return required to be filed by a Spinco or any member of its respective Spinco Group, including, without limitation, (a) any consolidated federal Income Tax Returns of the Spinco Consolidated Group required to be filed with respect to a Post-Distribution Taxable Period and (b) any consolidated federal Income Tax Returns for any group of which any member of the Spinco Group was the common parent.

SpinCo Separate Return means a Carrier Separate Return and/or an Otis Separate Return, as the context requires.

SpinCo Separate Return means any Separate Return of SpinCo or any other member of the SpinCo Group.

SpinCo Separate Return means any Tax Return of or including any member of the SpinCo Group (including any consolidated, combined or unitary return) that is not a Combined Return.

SpinCo Separate Return means any Income Tax Return or Other Tax Return required to be filed by any member of the Spinco Group (including any consolidated, combined or unitary return) that does not include any member of the Remainco Group, including any U.S. consolidated federal Income Tax Returns of the Spinco Consolidated Group required to be filed with respect to a Post-Distribution Taxable Period.
