SpinCo Divested Operations definition

SpinCo Divested Operations means all businesses, operations and activities sold, divested or otherwise disposed of prior to the Effective Time that (x) were primarily related to the SpinCo Business and (y) are not businesses, operations or activities of any Parent Asset as of the Effective Time; but excluding those businesses, operations or activities listed on Schedule 1.9(a).   • Retained Businesses means all businesses now, previously or hereafter conducted by Parent, the Sellers or any of their Subsidiaries or Affiliates, other than the Business.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Class B operator means a person who implements applicable underground storage tank regulatory requirements and standards. This includes implementing the day-to-day aspects of operating, maintaining, and record keeping for underground storage tanks at one or more facilities. A Class B operator typically monitors, maintains and ensures that release detection methods, record-keeping, and reporting requirements are met; release prevention equipment, record-keeping, and reporting requirements are met; all relevant equipment complies with performance standards; and appropriate individuals are trained to properly respond to emergencies caused by releases and spills.

  • Inactive business operations means the mere continued holding or renewal of rights to property previously operated for the purpose of generating revenues but not presently deployed for such purpose.

  • Partnership Group Member means any member of the Partnership Group.

  • Active business operations means all business operations that are not inactive business operations.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.
