Sponsor Entity definition

Sponsor Entity or “sponsor entity clinic” means a hospital, clinic, free clinic, health care facility, health care referral program, charitable organization, specialty health care provider office, outpatient surgical facility, or field dental clinic. Each sponsor entity has a fully executed sponsor entity agreement. The sponsor entity agreement shall allow an individual volunteer health care provider to deliver health care services to uninsured and underinsured persons as an agent of the state.

Sponsor Entity means any of the Sponsor Entities.

Sponsor Entity means any of the PBF Entities.

• In no event will payment of an Indemnity Obligation by any other Person with whom or which Indemnitee may be associated (including, without limitation, any Sponsor Entity) or their insurers affect the obligations of the Company hereunder or shift primary liability for any Indemnity Obligation to any other Person with whom or which Indemnitee may be associated (including, without limitation, any Sponsor Entity).

• If the prize includes participation in any public event(s) or publicity, or if Sponsor Entities intend to publicize the winner in any way, and if a background check reveals that a potential winner has engaged in conduct that could damage the reputation or business of any Sponsor Entity, as determined by Sponsor in its discretion, the potential winner may be disqualified and the prize may be awarded to an alternate winner.

• In no event will payment of an Indemnity Obligation of the Corporation under this Agreement by any other Person with whom or which Indemnitee may be associated (including, without limitation, any Sponsor Entity) or their insurers, affect the obligations of the Corporation hereunder or shift primary liability for any Indemnity Obligation to any other Person with whom or which Indemnitee may be associated (including, without limitation, any Sponsor Entity).

• In no event will payment of an Indemnity Obligation of the Company under this Agreement by any other Person with whom or which Indemnitee may be associated (including, without limitation, any Sponsor Entity) or their insurers affect the obligations of the Company hereunder or shift primary liability for any Indemnity Obligation to any other Person with whom or which Indemnitee may be associated (including, without limitation, any Sponsor Entity).

• The Offer shall set forth the terms relating to the purchase of the asset, group of assets or business and, if the Sponsor Entity desires to utilize the asset or group of assets, the Offer will also include the terms on which the Partnership Group will provide services to the Sponsor Entity.

More Definitions of Sponsor Entity

Sponsor Entity means, either, the BCP Entities or the CPPIB Entities, and together, the BCP Entities or the CPPIB Entities.

Sponsor Entity means any one or more of the Sponsors and the Sponsor Controlled Affiliates.

Sponsor Entity means any Person that is (i) a Sponsor or (ii) a Related Party.

Sponsor Entity means any one or more of (i) BCP; (ii) THL; (iii) any corporation, partnership, joint venture, association or other entity of which BCP or THL is (directly or indirectly, and whether individually or in the aggregate) the Beneficial Owner (including, without limitation, ownership through one or more investment funds or other entities that are controlled by, controlling or under common control with BCP or THL or any of their respective affiliates) of 20% or more of the outstanding voting stock, voting power, partnership interests or similar voting interests; and (iv) any other corporation, partnership, joint venture, association or other entity that is controlled by BCP or THL, controls BCP or THL or is under common control with BCP or THL (whether individually or collectively); provided, however, that for purposes hereof in no event shall “Sponsor Entities” include (A) CCO or any other Outdoor Entity, (B) any Clear Channel Entity. For purposes of this definition of “Sponsor Entity,” the term “control” (including the terms “controlling,” “controlled by” and “under common control with”) means the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of an entity, whether through the ownership of voting securities, by contract, or otherwise.

Sponsor Entity means (i) First Reserve Management, L.P. and (ii) any affiliate of First Reserve Management, L.P. and any investment fund or other Person advised or managed by the sponsor; provided, however, that neither the Corporation nor any of its subsidiaries shall be considered Sponsor Entities.

Sponsor Entity and “Sponsor Entities” shall have the meaning set forth in the recitals to this Agreement.

Sponsor Entity means any of (i) Ute Energy Holdings LLC, QEP Ute LLC and QR Ute Partners and (ii) any affiliate of Ute Energy Holdings LLC, QEP Ute LLC or QR Ute Partners and any investment fund or other Person advised or managed by any affiliate of such sponsors; provided, however, that neither the Corporation nor any of its subsidiaries shall be considered Sponsor Entities.
