State Street shall have the right to delegate and sub-contract for the performance of any or all of its duties hereunder to a wholly-owned subsidiary or other affiliated person (as such term is defined in the 1940 Act) of State Street (each, a “State Street Affiliate”); provided, however, that no such delegation or sub-contracting to a State Street Affiliate shall be effective unless State Street shall remain ultimately responsible for the performance of such duties.
Each Fund hereby authorizes State Street to effect Loans of Available Securities of the Fund with any person on State Street’s list of approved Borrowers, including State Street Bank and Trust Company, State Street Bank GmbH, and any other State Street Affiliate (each acting in the capacity of a Borrower, hereafter also referred to as an “SSB Borrower”) which list will be supplied to the Fund on request.
This Schedule is attached to and made part of the Securities Lending Authorization Agreement dated the 12th day of August 2020 between each NUVEEN registered investment company listed on Schedule C, severally and not jointly (the “Funds”) and STATE STREET BANK AND TRUST COMPANY acting either directly or through any State Street Affiliate (collectively, “State Street”).
No Fund will at any time become an Affiliate of State Street or any State Street Affiliate, and each Fund will use its best efforts to ensure that none of its Affiliates is or becomes an Affiliate of State Street or any State Street Affiliate.
Each Fund hereby authorizes State Street to purchase or sell investments of cash Collateral to or from other accounts held by State Street or any State Street Affiliate subject to compliance with applicable law.
So far as appears from the records of each Fund, neither State Street nor any State Street Affiliate known to such Fund is an Affiliate of such Fund, and none of such Fund or any Affiliate of such Fund is an Affiliate of State Street or any State Street Affiliate known to such Fund.
Each Fund hereby authorizes State Street to effect Loans of Available Securities of the Fund with any Borrower listed on Schedule C, including State Street Bank and Trust Company, State Street Bank GmbH, and any other State Street Affiliate (each acting in the capacity of a Borrower, hereafter also referred to as an “SSB Borrower”).
In addition, to the extent that cash Collateral cannot be promptly invested in Prime Portfolio pursuant to the Fund’s direction above due to the timing of delivery by Borrower, such cash Collateral may be invested as State Street may select, including in a demand deposit account or similar account in the name of State Street or any State Street Affiliate and/or as described in the preceding sentence until such cash Collateral can be invested in Prime Portfolio pursuant to the Fund’s direction above.
For avoidance of doubt, the foregoing sentence shall not serve as any limitation on a Fund's remedies against State Street Bank and Trust Company, or a State Street Affiliate, under the applicable Securities Loan Agreement or applicable law, to the extent it is the Borrower of a Loan of Available Securities of such Fund authorized in accordance herewith.
