Statement of Estimated Closing Working Capital definition

Statement of Estimated Closing Working Capital shall have the meaning set forth in Section 2.06(b).
Statement of Estimated Closing Working Capital which shall be accompanied by a notice (the “Closing Notice”) that sets forth (x) Seller’s determination of the Closing Adjustment and the Purchase Price after giving effect to the Closing Adjustment and (y) the account or accounts to which Buyer shall transfer funds pursuant to Sections 2.03 and 2.06.
Statement of Estimated Closing Working Capital means a schedule setting forth the estimated amount of (i) the Purchased Assets that are Current Assets, (ii) the Assumed Liabilities that are Current Liabilities and (iii) the Closing Working Capital, in all cases prepared in accordance with GAAP, as of the Closing, as shown, and except as specifically adjusted for, in the sample Statement of Closing Working Capital as set forth in Appendix B.

Examples of Statement of Estimated Closing Working Capital in a sentence

  • The Initial Working Capital Statement shall be prepared in accordance with the Working Capital Principles applied consistently with their application in connection with the preparation of the Financial Statements and the Statement of Estimated Closing Working Capital.

  • At least three (3) business days prior to the Closing, Purchaser and Seller Parent shall jointly prepare and finalize (i) the Estimated Closing Balance Sheet and (ii) the Statement of Estimated Closing Working Capital.

  • Buyer shall have the right to review the Statement of Estimated Closing Working Capital and such supporting documentation or data as Buyer may reasonably request.

  • The Statement of Estimated Closing Working Capital and the Closing Notice shall each be signed by Seller’s principal financial officer or principal accounting officer and be accompanied by reasonable supporting documentation.
