Statutory Tax Provision shall have the meaning set forth in the recitals.

"Trust" shall have the meaning set forth in the recitals. "Trust Agreement" shall have the meaning set forth in the recitals. "Trust Amendment" shall have the meaning set forth in Section 3.2.
