Stock Election Amount definition

Stock Election Amount means the product of the number of Stock Election Shares and the Exchange Ratio.
Stock Election Amount shall be equal to the Per Share Stock Consideration multiplied by the total number of Stock Election Shares plus the amount of the Per Share Mixed Consideration consisting of the Buyer's Stock multiplied by the total number of Mixed Election Shares (the "Mixed Stock Consideration Election Amount").
Stock Election Amount means the product of (i) the number of Stock Electing Shares multiplied by (ii) 0.0407 (before giving effect to any adjustment pursuant to Section 3.5).

  • In the event that Restricted Stock is authorized for issuance under the Management Plan, for each Plan Year beginning in 2002 and thereafter, Participants may elect to receive 50% or more of the Annual Retainer (the "Stock Election Amount") in Restricted Stock having a Fair Market Value on the date of grant equal to the Stock Election Amount.
