Stockholder Affiliate definition

Stockholder Affiliate of any stockholder means (x) any person directly or indirectly controlling or controlled by, or under common control or acting in concert with, such stockholder, (y) any beneficial owner of shares of stock of the corporation owned of record or beneficially by the stockholder and (z) any person directly or indirectly controlling or controlled by, or under common control or acting in concert with such Stockholder Affiliate.

Stockholder Affiliate means each "affiliate" or "associate" of a Stockholder (as such terms are defined in Rule 12b-2 under the Exchange Act as of the Effective Date), whether or not such Person is such an Affiliate as of the Effective Date, and each officer, director, employee, shareholder, consultant, agent, representative, successor and assign, of either a Stockholder or any Stockholder Affiliate; excluding, however, Search and any Search Affiliate.

Stockholder Affiliate means a stockholder of the Borrower that is an Affiliate of the Borrower solely by virtue of such stockholder’s percentage ownership interest in the Borrower and not by virtue of any other relationship with the Borrower (such as being an officer or director of the Borrower or being affiliated with an officer or director of the Borrower).

• Without the prior written consent of Company, each Restricted Stockholder and each Designated Restricted Stockholder Affiliate will not, and will use commercially reasonable efforts to cause each of their respective Affiliates and Associates to not, directly or indirectly, cause, induce, influence, encourage or solicit any material business relationship or any other customer, vendor or supplier of Company to terminate or modify in any respect any such relationship with Company.

• The liability of each Restricted Stockholder and each Designated Restricted Stockholder Affiliate for any breach of the provisions of this Article IX by one of them, but not the others, shall be limited solely to the breaching party, and not jointly with the non-breaching parties.

• Each Restricted Stockholder and each Designated Restricted Stockholder Affiliate covenants and agrees that, without the express written consent of the Company, it will not, nor will it cause or knowingly permit any of its Affiliates or Associates to, directly or indirectly engage in, invest in (either directly or indirectly, whether as an agent, stockholder, creditor, advisor, consultant or otherwise), operate or acquire any business in the world that competes with the Company Business.

More Definitions of Stockholder Affiliate

Stockholder Affiliate means any Affiliate of the Stockholder that beneficially owns Shares or other Capital Stock.

Stockholder Affiliate means (i) during the life of either Stockholder, any entity in which the Stockholder owns 50% or more of the outstanding voting securities, any member of Stockholder's Immediate Family or a trust established for the benefit of his Immediate Family and (ii) following the death of the Stockholder, any Person or group of Persons acting in concert, who beneficially own or control more than 50 % of the outstanding shares of Common Stock of the Company and which Person or Persons have not acquired such shares as a result of a Sale of the Business.
