Stockholder Affiliate definition

Stockholder Affiliate of any stockholder means (x) any person directly or indirectly controlling or controlled by, or under common control or acting in concert with, such stockholder, (y) any beneficial owner of shares of stock of the corporation owned of record or beneficially by the stockholder and (z) any person directly or indirectly controlling or controlled by, or under common control or acting in concert with such Stockholder Affiliate.
Stockholder Affiliate means each "affiliate" or "associate" of a Stockholder (as such terms are defined in Rule 12b-2 under the Exchange Act as of the Effective Date), whether or not such Person is such an Affiliate as of the Effective Date, and each officer, director, employee, shareholder, consultant, agent, representative, successor and assign, of either a Stockholder or any Stockholder Affiliate; excluding, however, Search and any Search Affiliate.
Stockholder Affiliate means a stockholder of the Borrower that is an Affiliate of the Borrower solely by virtue of such stockholder’s percentage ownership interest in the Borrower and not by virtue of any other relationship with the Borrower (such as being an officer or director of the Borrower or being affiliated with an officer or director of the Borrower).
