Stockholder Exercise Period definition

Stockholder Exercise Period shall have the meaning set forth in Section 3.1(b)(ii)(A).

  • The Stockholders so exercising their Purchase Option shall, within the Stockholder Exercise Period, deliver to the Selling Stockholder an Exercise Notice so informing the Selling Stockholder, and at the time the Exercise Notice is received by the Selling Stockholder a binding agreement shall arise between the Selling Stockholder and the electing Stockholders concerning the sale of all of the Offered Shares at the price and upon the terms provided in the Stockholder Sale Notice.

  • If the Company has not elected to purchase all of the Offered Securities, then each other Stockholder will have thirty (30) days after receipt of the Transfer Notice (the "Stockholder Exercise Period") during which to notify the Selling Holder and the Company in writing (such written notice, also an "Acceptance Notice") of its irrevocable election to purchase all or any portion of the Offered Securities not specified in the Acceptance Notice (such shares, the "Reoffered Securities").

  • The closing of the purchase of any Stockholder Shares pursuant to this Section 4(c) shall take place within 60 days after the expiration of the Significant Stockholder Exercise Period, which, in any event, shall be within 90 days after the Transfer Notice was delivered to the Company and the Significant Stockholders.

  • Unless all of the New Securities are elected to be purchased pursuant to Section 5.2, the Company may at any time after the Additional Stockholder Exercise Period sell to any Person (including, without limitation, the Principal Stockholder) all of the New Securities not elected to be purchased by the Additional Stockholders pursuant to Section 5.2 on terms and conditions that are no more favorable than those set forth in the New Issuance Notice.

  • Broker Exercise Notice means a written notice pursuant to which a Participant, upon exercise of an Option, irrevocably instructs a broker or dealer to sell a sufficient number of shares or loan a sufficient amount of money to pay all or a portion of the exercise price of the Option and/or any related withholding tax obligations and remit such sums to the Company and directs the Company to deliver stock certificates to be issued upon such exercise directly to such broker or dealer.

  • SAR Exercise Price means the per share exercise price of a SAR granted to a Grantee under Section 9 hereof.

  • Stock Tender Exercise means a Stock Tender Exercise as defined in Section 6.3(b)(ii).

  • Sponsor Exercise Fair Market Value means the average last reported sale price of the Ordinary Shares for the ten (10) trading days ending on the third (3rd) trading day prior to the date on which notice of exercise of the Private Placement Warrant is sent to the Warrant Agent;

If the Warrant Price is adjusted pursuant to Section 4.4, the adjusted share prices set forth in the column headings of the table above shall be multiplied by a fraction, the numerator of which is the higher of the Market Value and the Newly Issued Price and the denominator of which is $10.00.   • Exercise Event shall have the meaning ascribed to such term in Section 2(c).

  • Exercise Payment means the amount of money equal to the Exercise Price multiplied by the number of Optioned Shares specified in the Notice of Exercise;

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.

  • Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.

  • Unissued Option Shares means the number of Shares, at a particular time, which have been reserved for issuance upon the exercise of an Option but which have not been issued, as adjusted from time to time in accordance with the provisions of section 5, such adjustments to be cumulative.

  • Aggregate Exercise Price means, in connection with the exercise of this Warrant at any time, an amount equal to the product obtained by multiplying (i) the Exercise Price times (ii) the number of shares of Common Stock for which this Warrant is being exercised at such time.

  • Warrant Exercise Price means $0.01 per share.
